The <strong>City</strong> expects that <strong>the</strong> Special Counsel wil need <strong>to</strong> obtain <strong>the</strong> services of<br />

thid-parties such<br />

as court reporters, investiga<strong>to</strong>rs, consultants, experts, title companies, appraisers, messenger services,<br />

etc., in order <strong>to</strong> carry out <strong>the</strong>ir assignments and wil contract with those service providers upon <strong>the</strong><br />

approval of <strong>the</strong> <strong>City</strong>. With <strong>the</strong> exception of <strong>the</strong> court reporters, Special Counsel shall notif <strong>the</strong> <strong>City</strong><br />

of <strong>the</strong>ir engagement of all thid-party service provider~ and obtainauthorization for those services from<br />

<strong>the</strong> <strong>City</strong>. The Special Counsel wil pay all third-party service providers directly and wil bil <strong>the</strong> <strong>City</strong><br />

for those services detailed disbursements included in monthly invoices. This <strong>City</strong> wil not accept<br />

separate invoices from service providers directly <strong>to</strong> <strong>the</strong> <strong>City</strong> for payment.<br />

If <strong>the</strong> Special Counsel receives discounts from messenger services, title agencies, investiga<strong>to</strong>rs<br />

or o<strong>the</strong>r categories of service provider, those discounts must be passed on <strong>to</strong>t he <strong>City</strong> and noted on each<br />

in voice.<br />

The <strong>City</strong> does not agree <strong>to</strong> pay for <strong>the</strong> following disbursements unless specifcally approved in<br />

advance for any specifc matter by <strong>the</strong> <strong>City</strong>.<br />

word processing;<br />

secretaries' overtime, proofreading, placing or organizing documents in fies;<br />

meals;<br />

first class ai or rai travel, chaufeur driven liousines;<br />

hotel accommodations; and<br />

charges for use of conference rooms or offce space.<br />

Should <strong>the</strong> services of one or more o<strong>the</strong>r persons with Special Counsel's fim be deemed<br />

necessary and approved, <strong>the</strong> <strong>City</strong> expects that an appropriate number of at<strong>to</strong>rneys and paralegals at all<br />

practice levels will be <strong>available</strong> for assignment <strong>to</strong> its matters so that matters can be handled in <strong>the</strong> most<br />

effcient manner possible. Fur<strong>the</strong>r, <strong>the</strong> <strong>City</strong> expects that tasks wil be performed by <strong>the</strong> appropriate level<br />

at<strong>to</strong>rney (partner or associates) or paralegal. If <strong>the</strong> Special Counsel decides <strong>to</strong> staff tasks such as<br />

document indexig or preparing deposition summares with associates ra<strong>the</strong>r than paralegals without<br />

<strong>the</strong> <strong>City</strong>'s prior permission, <strong>the</strong> <strong>City</strong> agrees <strong>to</strong> pay only at <strong>the</strong> rate for paralegals.
