7 Improv<strong>in</strong>g clubs’ f<strong>in</strong>ancial report<strong>in</strong>g and performance<br />

benchmark<strong>in</strong>g<br />

The Club Viability Panel should identify and approach clubs at risk <strong>of</strong> be<strong>in</strong>g <strong>in</strong> f<strong>in</strong>ancial<br />

distress<br />

IPART considers that <strong>the</strong> Club Viability Panel is <strong>the</strong> appropriate body to analyse<br />

clubs’ data, and to approach those clubs whose data <strong>in</strong>dicates are at risk <strong>of</strong> be<strong>in</strong>g <strong>in</strong><br />

f<strong>in</strong>ancial distress to <strong>of</strong>fer <strong>the</strong>m fur<strong>the</strong>r analysis and, if necessary, assistance. In<br />

reach<strong>in</strong>g this view, IPART considered <strong>Clubs</strong><strong>NSW</strong>’s suggestion that auditors should<br />

play a greater role <strong>in</strong> identify<strong>in</strong>g clubs <strong>in</strong> f<strong>in</strong>ancial distress. 115 <strong>Clubs</strong><strong>NSW</strong> also<br />

suggested that auditors should provide an annual sign-<strong>of</strong>f and submit to government<br />

a form that allows assessment <strong>of</strong> <strong>the</strong> club’s overall f<strong>in</strong>ancial health. However, IPART<br />

considers that:<br />

In prepar<strong>in</strong>g year-end annual reports, auditors already provide an annual ‘sign<strong>of</strong>f’<br />

on <strong>the</strong> club as a go<strong>in</strong>g concern. As part <strong>of</strong> <strong>the</strong> task, it is standard practice for<br />

auditors to note any issues regard<strong>in</strong>g <strong>the</strong> club’s f<strong>in</strong>ancial health, even if <strong>the</strong> overall<br />

assessment is that <strong>the</strong> club is a go<strong>in</strong>g concern.<br />

Increas<strong>in</strong>g <strong>the</strong> legal scope <strong>of</strong> <strong>the</strong> auditors’ role is likely to lead to an <strong>in</strong>crease <strong>in</strong><br />

auditors’ costs and thus a greater f<strong>in</strong>ancial burden on clubs.<br />

Ask<strong>in</strong>g auditors to submit a form to government on <strong>the</strong> f<strong>in</strong>ancial viability <strong>of</strong> <strong>the</strong><br />

club effectively shifts <strong>the</strong> responsibility <strong>of</strong> monitor<strong>in</strong>g f<strong>in</strong>ancial performance from<br />

management to <strong>the</strong> auditor. In contrast, requir<strong>in</strong>g club management to calculate<br />

and provide a measure <strong>of</strong> <strong>the</strong>ir f<strong>in</strong>ancial viability encourages clubs to have a<br />

greater understand<strong>in</strong>g and ownership <strong>of</strong> <strong>the</strong>ir f<strong>in</strong>ancial position.<br />

EBITDARD% should be used as <strong>the</strong> measure <strong>of</strong> f<strong>in</strong>ancial viability for this purpose<br />

Stakeholder submissions and <strong>the</strong> case study clubs suggested that a measure that<br />

identifies a club’s cash earn<strong>in</strong>gs expressed as a percentage <strong>of</strong> its total trad<strong>in</strong>g revenue<br />

is a useful <strong>in</strong>itial key <strong>in</strong>dicator <strong>of</strong> its f<strong>in</strong>ancial viability. This k<strong>in</strong>d <strong>of</strong> measure can also<br />

be readily calculated by all clubs.<br />

Such a measure would essentially identify <strong>the</strong> net cash surplus available to <strong>the</strong> club<br />

to service its external debt (<strong>in</strong>terest), pay tax, contribute to capital expenditure, and<br />

contribute to cash reserves. When expressed as a percentage, <strong>the</strong> lower <strong>the</strong><br />

percentage <strong>the</strong> greater <strong>the</strong> likelihood <strong>the</strong> club is experienc<strong>in</strong>g f<strong>in</strong>ancial distress.<br />
