9 Improv<strong>in</strong>g corporate governance<br />
It is even more difficult to def<strong>in</strong>e what constitutes effective corporate governance for<br />
registered clubs, because <strong>of</strong> <strong>the</strong> diversity <strong>in</strong> <strong>the</strong> size and type <strong>of</strong> clubs <strong>in</strong> <strong>the</strong> <strong>in</strong>dustry.<br />
Based on stakeholder comments and its observations <strong>of</strong> case study clubs, IPART<br />
considers that effective corporate governance for clubs <strong>in</strong>cludes <strong>the</strong> follow<strong>in</strong>g<br />
aspects:<br />

management and boards be<strong>in</strong>g accountable to club members for <strong>the</strong>ir actions and<br />
use <strong>of</strong> club resources, through disclosure <strong>of</strong> relevant <strong>in</strong>formation to members<br />
management and boards ensur<strong>in</strong>g that appropriate risk management systems are<br />
<strong>in</strong> place at <strong>the</strong>ir club<br />
boards engag<strong>in</strong>g <strong>in</strong> succession plann<strong>in</strong>g to ensure regular renewal, for example by<br />
target<strong>in</strong>g club members who <strong>the</strong>y th<strong>in</strong>k will make useful contributions to <strong>the</strong>ir<br />
club<br />
management and boards us<strong>in</strong>g strategic plann<strong>in</strong>g to develop appropriate<br />
responses to <strong>the</strong> challenges <strong>the</strong>ir club is likely to face <strong>in</strong> <strong>the</strong> future<br />
boards assess<strong>in</strong>g management’s performance, as well as <strong>the</strong>ir own performance,<br />
at least on an annual basis<br />
boards monitor<strong>in</strong>g how successful management is <strong>in</strong> carry<strong>in</strong>g out board<br />
decisions.<br />
Ensur<strong>in</strong>g that board members and managers undertake appropriate tra<strong>in</strong><strong>in</strong>g is one<br />
way to improve club corporate governance. For example, <strong>the</strong> provision <strong>of</strong> <strong>in</strong>duction<br />
tra<strong>in</strong><strong>in</strong>g for new board members and managers can help <strong>the</strong>m to understand <strong>the</strong>ir<br />
respective roles and responsibilities. Ongo<strong>in</strong>g tra<strong>in</strong><strong>in</strong>g and development can help<br />
board members and managers to improve <strong>the</strong>ir skill-sets and keep up-to-date with<br />
recent developments <strong>in</strong> <strong>the</strong> registered clubs <strong>in</strong>dustry (such as <strong>the</strong> changes to <strong>the</strong><br />
amalgamation regime discussed <strong>in</strong> Chapter 11).<br />
9.2 Overview <strong>of</strong> <strong>the</strong> exist<strong>in</strong>g corporate governance framework<br />
On <strong>the</strong> whole, IPART is satisfied that exist<strong>in</strong>g framework for corporate governance <strong>in</strong><br />
<strong>the</strong> clubs <strong>in</strong>dustry – which is created by <strong>the</strong> <strong>Clubs</strong><strong>NSW</strong>’s Code <strong>of</strong> Practice and Best<br />
Practice Guidel<strong>in</strong>es, and <strong>the</strong> requirements <strong>of</strong> <strong>Registered</strong> <strong>Clubs</strong> Act – is a useful,<br />
practical framework for clubs <strong>in</strong> <strong>NSW</strong>. The key aspects <strong>of</strong> this framework are<br />
summarised below.<br />
