11 Mak<strong>in</strong>g it easier for clubs to amalgamate<br />
IPART notes that management agreements are specifically provided for <strong>in</strong><br />
Queensland’s Gam<strong>in</strong>g Mach<strong>in</strong>e Act 1991, and guidel<strong>in</strong>es have been <strong>in</strong>troduced to help<br />
clubs set up <strong>the</strong>se agreements (see Box 11.4).<br />
Box 11.4 Management agreements <strong>in</strong> Queensland’s registered clubs <strong>in</strong>dustry<br />
The Gam<strong>in</strong>g Mach<strong>in</strong>e Act 1991 (Qld) specifically allows for a club to enter <strong>in</strong>to management<br />
agreements with ano<strong>the</strong>r club or a private bus<strong>in</strong>ess. Common types <strong>of</strong> management<br />
agreements <strong>in</strong>clude:<br />

private bus<strong>in</strong>ess <strong>of</strong>fer<strong>in</strong>g its pr<strong>of</strong>essional management services to <strong>the</strong> club for a fee<br />
private bus<strong>in</strong>ess buy<strong>in</strong>g up <strong>the</strong> clubhouse and land and leas<strong>in</strong>g it back to <strong>the</strong> club and<br />
tak<strong>in</strong>g over <strong>the</strong> management <strong>of</strong> <strong>the</strong> property under a management agreement<br />
one club enter<strong>in</strong>g <strong>in</strong>to a management agreement to manage ano<strong>the</strong>r club.<br />
Guidel<strong>in</strong>es have been <strong>in</strong>troduced to assist clubs <strong>in</strong> sett<strong>in</strong>g up management agreements. These<br />
guidel<strong>in</strong>es <strong>in</strong>clude that <strong>the</strong> agreement must not restrict <strong>the</strong> board’s control <strong>of</strong> <strong>the</strong> club, and<br />
that <strong>the</strong> agreements should <strong>in</strong>clude periodic performance reviews <strong>of</strong> <strong>the</strong> manager, and allow<br />
<strong>the</strong> club to term<strong>in</strong>ate <strong>the</strong> agreement (without any compensation to be paid) should <strong>the</strong><br />
manager's performance be unsatisfactory.<br />
The Gam<strong>in</strong>g Mach<strong>in</strong>e Act requires that <strong>the</strong> remuneration must be commercially realistic,<br />
transparent, easily calculated and not l<strong>in</strong>ked to gam<strong>in</strong>g earn<strong>in</strong>gs, pr<strong>of</strong>its or revenues.<br />

Recommendations<br />
59 That clubs explore <strong>the</strong> use <strong>of</strong> management agreements <strong>in</strong> <strong>the</strong>ir approaches to seek<strong>in</strong>g<br />
amalgamation. Information relat<strong>in</strong>g to management agreements should be <strong>in</strong>cluded <strong>in</strong><br />
<strong>the</strong> guide to amalgamation (see Recommendation 54).<br />
60 That OLGR develop a pro-forma management agreement contract that clubs can access<br />
easily, to facilitate clubs seek<strong>in</strong>g to enter <strong>in</strong>to management agreements. The pro-forma<br />
should <strong>in</strong>clude <strong>in</strong>formation about <strong>the</strong> legal requirements to be met to ensure <strong>the</strong><br />
agreement does not contravene <strong>the</strong> <strong>Registered</strong> <strong>Clubs</strong> Act.<br />
