10 Help<strong>in</strong>g clubs better understand <strong>the</strong> risks and benefits<br />

<strong>of</strong> diversify<strong>in</strong>g <strong>the</strong>ir operations<br />

10.1.2 What have clubs diversified <strong>in</strong>to?<br />

IPART’s consultation identified that clubs have diversified <strong>in</strong>to a range <strong>of</strong> areas,<br />

<strong>in</strong>clud<strong>in</strong>g (but not limited to):<br />

health and fitness centres<br />

accommodation<br />

tra<strong>in</strong><strong>in</strong>g and education<br />

bottle shops<br />

retail<br />

child care<br />

aged care<br />

travel services.<br />

In some <strong>in</strong>stances, <strong>the</strong> club operates <strong>the</strong> diversified bus<strong>in</strong>ess or bus<strong>in</strong>esses itself,<br />

generally where it can do so with<strong>in</strong> exist<strong>in</strong>g club operations (eg, new upmarket<br />

d<strong>in</strong><strong>in</strong>g options). Where <strong>the</strong> diversified bus<strong>in</strong>ess is somewhat removed from <strong>the</strong><br />

hospitality sector, <strong>the</strong> club <strong>of</strong>ten engages a third party to own and operate <strong>the</strong><br />

bus<strong>in</strong>ess with <strong>the</strong> club act<strong>in</strong>g as landlord.<br />

<strong>Clubs</strong><strong>NSW</strong> cited Dee Why RSL as an example <strong>of</strong> a club that has used numerous<br />

diversification strategies to reduce its reliance on gam<strong>in</strong>g mach<strong>in</strong>e <strong>in</strong>come. 183 It<br />

established a car wash, which it operates, and has leased space to a child-care<br />

operator and a ten p<strong>in</strong> bowl<strong>in</strong>g centre. Dee Why RSL has also entered <strong>in</strong>to a jo<strong>in</strong>t<br />

venture arrangement with a property developer to establish a retirement village<br />

adjacent to <strong>the</strong> club. This development is expected to generate a significant cash<br />

<strong>in</strong>jection and <strong>in</strong>come from an ongo<strong>in</strong>g management fee for <strong>the</strong> club.<br />

However, <strong>Clubs</strong><strong>NSW</strong> also acknowledged that, even with diversification, <strong>the</strong> longterm<br />

f<strong>in</strong>ancial viability <strong>of</strong> clubs is likely to rema<strong>in</strong> closely l<strong>in</strong>ked to <strong>the</strong>ir alibility to<br />

operate gam<strong>in</strong>g mach<strong>in</strong>es. 184<br />

10.1.3 Are <strong>the</strong>re any restrictions on diversify<strong>in</strong>g?<br />

The <strong>Registered</strong> <strong>Clubs</strong> Act places no specific restrictions on what bus<strong>in</strong>ess/sectors<br />

clubs can diversify <strong>in</strong>to. At <strong>the</strong> outset <strong>of</strong> this review, section 41J(3) <strong>of</strong> <strong>the</strong> <strong>Registered</strong><br />

<strong>Clubs</strong> Act placed conditions on <strong>the</strong> disposal <strong>of</strong> land by a registered club. Essentially,<br />

this section meant that clubs could not dispose <strong>of</strong> land (or grant options to buy)<br />

unless:<br />

1. <strong>the</strong> disposal was approved by a majority <strong>of</strong> club members<br />

2. <strong>the</strong> disposal was by public auction or open tender, and<br />
