9 Improv<strong>in</strong>g corporate governance<br />

Disclosure <strong>of</strong> <strong>in</strong>formation to members<br />

The <strong>Registered</strong> <strong>Clubs</strong> Act requires that a club keep a register <strong>of</strong> <strong>in</strong>formation related to <strong>the</strong><br />

management and f<strong>in</strong>ancial adm<strong>in</strong>istration <strong>of</strong> <strong>the</strong> club, <strong>in</strong>clud<strong>in</strong>g:<br />

<br />

a list <strong>of</strong> disclosures, declarations and returns made by <strong>the</strong> directors or employees (eg<br />

material personal <strong>in</strong>terests <strong>in</strong> contracts)<br />

<strong>the</strong> number <strong>of</strong> top executives whose remuneration falls with<strong>in</strong> each successive $10,000<br />

band, start<strong>in</strong>g at $100,000<br />

details <strong>of</strong> loans made by <strong>the</strong> club to any employee <strong>in</strong> excess <strong>of</strong> $1,000<br />

<br />

details <strong>of</strong> certa<strong>in</strong> contracts executed by <strong>the</strong> club (eg, contracts <strong>in</strong> which directors have a<br />

pecuniary <strong>in</strong>terest)<br />

<strong>the</strong> name and remuneration <strong>of</strong> any employee who is a close relative <strong>of</strong> a director or top<br />

executive<br />

details <strong>of</strong> legal settlements made by <strong>the</strong> club with a director or employee<br />

details <strong>of</strong> legal fees paid by <strong>the</strong> club on behalf <strong>of</strong> a director or employee.<br />

Members may view <strong>the</strong> register by written request to <strong>the</strong> club. 145<br />

IPART considers that <strong>the</strong> <strong>Registered</strong> <strong>Clubs</strong> Act’s strong focus on accountability,<br />

transparency and probity is appropriate. It notes that stakeholders’ ma<strong>in</strong> concerns<br />

about <strong>the</strong> exist<strong>in</strong>g corporate governance framework – <strong>in</strong>clud<strong>in</strong>g <strong>the</strong> high cost <strong>of</strong><br />

compliance with <strong>the</strong> <strong>Registered</strong> <strong>Clubs</strong> Act due largely to <strong>the</strong> <strong>in</strong>clusion <strong>of</strong> some<br />

unnecessary provisions – have been addressed by <strong>the</strong> amendments to <strong>the</strong> Act that<br />

came <strong>in</strong>to effect <strong>in</strong> late 2007.<br />

9.3 Recommendations for improv<strong>in</strong>g corporate governance<br />

IPART considers that a range <strong>of</strong> <strong>in</strong>itiatives for improv<strong>in</strong>g clubs’ corporate<br />

governance should be implemented, <strong>in</strong>clud<strong>in</strong>g <strong>in</strong>itiatives focused on:<br />

improv<strong>in</strong>g <strong>the</strong> skills <strong>of</strong> directors, by requir<strong>in</strong>g <strong>the</strong>m to undertake core tra<strong>in</strong><strong>in</strong>g<br />

modules with<strong>in</strong> 12 months <strong>of</strong> be<strong>in</strong>g elected, and encourag<strong>in</strong>g <strong>the</strong> use <strong>of</strong><br />

performance assessments to identify areas where boards and <strong>in</strong>dividual directors<br />

need to improve<br />

address<strong>in</strong>g difficulties <strong>in</strong> elect<strong>in</strong>g appropriately skilled directors, by encourag<strong>in</strong>g<br />

clubs to remove constitutional restrictions and permitt<strong>in</strong>g board-appo<strong>in</strong>ted<br />

directors <strong>in</strong> limited circumstances<br />

address<strong>in</strong>g difficulties <strong>in</strong> attract<strong>in</strong>g directors, by encourag<strong>in</strong>g clubs to undertake<br />

succession plann<strong>in</strong>g and make better use <strong>of</strong> board vacancies and committees to<br />

recruit and tra<strong>in</strong> future directors<br />
