48 That <strong>Clubs</strong><strong>NSW</strong> more extensively promote examples <strong>of</strong> effective corporate<br />

governance <strong>in</strong> clubs. 158<br />

49 That <strong>Clubs</strong><strong>NSW</strong> cont<strong>in</strong>ue to develop its Code <strong>of</strong> Practice and Best Practice<br />

Guidel<strong>in</strong>es as new corporate governance issues arise. In particular, <strong>Clubs</strong><strong>NSW</strong> should<br />

develop a Best Practice Guidel<strong>in</strong>e encourag<strong>in</strong>g boards to move to three-year roll<strong>in</strong>g<br />

50 That <strong>Clubs</strong><strong>NSW</strong> <strong>in</strong>troduce best practice recommendations <strong>in</strong>to its Best Practice<br />

Guidel<strong>in</strong>es, and revise its Code <strong>of</strong> Practice to require a club which does not follow a<br />

best practice recommendation to disclose its reasons <strong>in</strong> its annual report. 161<br />

51 That <strong>Clubs</strong><strong>NSW</strong> exam<strong>in</strong>e <strong>the</strong> feasibility <strong>of</strong> employ<strong>in</strong>g a pool <strong>of</strong> compliance <strong>of</strong>ficers to<br />

assist smaller clubs meet <strong>the</strong>ir compliance obligations under <strong>the</strong> <strong>Registered</strong> <strong>Clubs</strong><br />

Act. These <strong>of</strong>ficers would be available on request to clubs with gam<strong>in</strong>g mach<strong>in</strong>e<br />

revenue <strong>of</strong> $1 million or less a year. <strong>Clubs</strong><strong>NSW</strong> would be able to charge clubs a fee<br />

for us<strong>in</strong>g this compliance service, determ<strong>in</strong>ed on a cost recovery basis. 162<br />

52 That improvements be made to <strong>the</strong> exist<strong>in</strong>g club-specific tra<strong>in</strong><strong>in</strong>g available to club<br />

directors and managers by <strong>Clubs</strong><strong>NSW</strong>: 164<br />

– <strong>of</strong>fer<strong>in</strong>g accredited tra<strong>in</strong><strong>in</strong>g for directors, ideally under <strong>the</strong> Australian<br />

Qualifications Framework 164<br />

– <strong>of</strong>fer<strong>in</strong>g more flexible delivery options for director tra<strong>in</strong><strong>in</strong>g 164<br />

– with o<strong>the</strong>r providers <strong>of</strong> club-specific tra<strong>in</strong><strong>in</strong>g, <strong>in</strong>creas<strong>in</strong>g <strong>the</strong>ir promotion <strong>of</strong> <strong>the</strong><br />

programs that <strong>the</strong>y <strong>of</strong>fer. 164<br />

Chapter 10 Help<strong>in</strong>g clubs better understand <strong>the</strong> risks and benefits <strong>of</strong> diversify<strong>in</strong>g<br />

<strong>the</strong>ir operations<br />

IPART recommends <strong>the</strong> follow<strong>in</strong>g to assist registered clubs to diversify effectively:<br />

53 That <strong>Clubs</strong><strong>NSW</strong> develop and deliver material to assist clubs (particularly small to<br />

medium-sized clubs) <strong>in</strong> understand<strong>in</strong>g and manag<strong>in</strong>g <strong>the</strong> benefits and risks<br />

associated with pursu<strong>in</strong>g diversification, <strong>in</strong>clud<strong>in</strong>g: 173<br />

– Provid<strong>in</strong>g guidance with respect to <strong>the</strong> measures usually adopted to identify and<br />

mitigate diversification risks, such as due diligence and plann<strong>in</strong>g procedures to<br />

objectively assess <strong>the</strong> relative merits <strong>of</strong> a particular diversification strategy. 173<br />
