IPART recommends <strong>the</strong> follow<strong>in</strong>g to assist registered clubs with <strong>the</strong> complexity <strong>of</strong> <strong>the</strong><br />
amalgamation process and to overcome clubs' reluctance to consider amalgamation:<br />
54 That OLGR, <strong>in</strong> consultation with <strong>the</strong> <strong>in</strong>dustry, <strong>the</strong> Panel and <strong>the</strong> public, develop a<br />
comprehensive guide to amalgamation. It should be a comprehensive guide<br />
written <strong>in</strong> pla<strong>in</strong> English that <strong>in</strong>cludes (but is not restricted to): 183<br />
– <strong>in</strong>formation on ways to approach an amalgamation 183<br />
– details on <strong>the</strong> legal requirements <strong>of</strong> amalgamation, how <strong>the</strong>y should be carried<br />
out and <strong>in</strong> what order 183<br />
– a list <strong>of</strong> <strong>the</strong> major issues to consider when amalgamat<strong>in</strong>g, <strong>in</strong>clud<strong>in</strong>g f<strong>in</strong>ancial, due<br />
diligence, operational and strategic plann<strong>in</strong>g matters. 183<br />
55 That <strong>the</strong> <strong>NSW</strong> Government write to <strong>the</strong> Commonwealth Government request<strong>in</strong>g an<br />
amendment to <strong>the</strong> Corporations Act 2001 to allow for a simple majority vote for<br />
liquidation <strong>in</strong> <strong>the</strong> case <strong>of</strong> a registered club that has already voted to amalgamate. 185<br />
56 That OLGR and <strong>the</strong> Cas<strong>in</strong>o, Liquor and Gambl<strong>in</strong>g Control Authority develop pr<strong>of</strong>ormas<br />
for documents that are required to be lodged with <strong>the</strong> application for<br />
amalgamation, where appropriate. These pro-formas should be easily accessible to<br />
clubs. For example, <strong>the</strong> OLGR should develop a pro-forma MOU which clubs can<br />
access from OLGR’s website and that <strong>of</strong> <strong>the</strong> peak bodies. The pro-forma MOU<br />
should <strong>in</strong>clude <strong>the</strong> m<strong>in</strong>imum legal requirements but provide flexibility for clubs to<br />
add <strong>the</strong>ir particular requirements. 187<br />
57 That peak bodies provide more education to club members and directors on<br />
amalgamation. This education should provide a balanced view <strong>of</strong> amalgamation,<br />
cover<strong>in</strong>g issues such as <strong>the</strong> pros and cons <strong>of</strong> amalgamation, <strong>the</strong> process, and<br />
alternative amalgamation models. 189<br />
58 That <strong>the</strong> management and board <strong>of</strong> a club be required to <strong>in</strong>form its members,<br />
with<strong>in</strong> 30 bus<strong>in</strong>ess days, after a board decision regard<strong>in</strong>g a formal amalgamation<br />
<strong>of</strong>fer has been made. The disclosure to members should <strong>in</strong>clude <strong>in</strong>formation on <strong>the</strong><br />
reasons for its decision. 190<br />
59 That clubs explore <strong>the</strong> use <strong>of</strong> management agreements <strong>in</strong> <strong>the</strong>ir approaches to<br />
seek<strong>in</strong>g amalgamation. Information relat<strong>in</strong>g to management agreements should be<br />
<strong>in</strong>cluded <strong>in</strong> <strong>the</strong> guide to amalgamation (see Recommendation 54). 195<br />
