11 Mak<strong>in</strong>g it easier for clubs to amalgamate<br />

6. Hold<strong>in</strong>g an extraord<strong>in</strong>ary general meet<strong>in</strong>g to vote on <strong>the</strong> amalgamation: each<br />

club must hold an extraord<strong>in</strong>ary general meet<strong>in</strong>g to vote on <strong>the</strong> motion to<br />

amalgamate. A majority <strong>of</strong> 50 per cent or more <strong>of</strong> members cast<strong>in</strong>g votes at <strong>the</strong><br />

meet<strong>in</strong>g is required for <strong>the</strong> motion to be passed. If this is not achieved, <strong>the</strong><br />

amalgamation does not proceed.<br />

Follow<strong>in</strong>g <strong>the</strong>se steps, clubs also need to f<strong>in</strong>alise <strong>the</strong> amalgamation, <strong>in</strong>clud<strong>in</strong>g<br />

w<strong>in</strong>d<strong>in</strong>g up <strong>the</strong> o<strong>the</strong>r club and transferr<strong>in</strong>g its bus<strong>in</strong>ess and core property to <strong>the</strong><br />

parent club. However, with <strong>the</strong> commencement <strong>of</strong> <strong>the</strong> Liquor Act 2007 on 1 July 2008,<br />

<strong>the</strong> actual adm<strong>in</strong>istrative procedures and requirements for <strong>the</strong>se steps will be<br />

chang<strong>in</strong>g and have yet to be f<strong>in</strong>alised by <strong>the</strong> new Cas<strong>in</strong>o, Liquor and Gam<strong>in</strong>g<br />

Control Authority (CLGCA) (discussed fur<strong>the</strong>r <strong>in</strong> section 11.1.2 below).<br />

11.1.2 Recent legislative changes affect<strong>in</strong>g <strong>the</strong> amalgamation process<br />

Dur<strong>in</strong>g <strong>the</strong> period <strong>of</strong> this review, <strong>the</strong>re were three legislative changes which affect<br />

amalgamations:<br />

<strong>the</strong> <strong>Registered</strong> <strong>Clubs</strong> Amendment Act 2006 was passed <strong>in</strong> November 2006 194<br />

<strong>the</strong> <strong>Registered</strong> <strong>Clubs</strong> Amendment Regulation 2007 took effect from 21 December 2007<br />

<strong>the</strong> Liquor Act 2007 received assent on 13 December 2007.<br />

The <strong>Registered</strong> <strong>Clubs</strong> Amendment Act and Regulation conta<strong>in</strong> sections that aim to<br />

relax <strong>the</strong> restrictions on amalgamation, while provisions <strong>in</strong> <strong>the</strong> Liquor Act 2007 will<br />

have implications for <strong>the</strong> govern<strong>in</strong>g bodies that will oversee such matters and, as<br />

<strong>in</strong>dicated above, on <strong>the</strong> adm<strong>in</strong>istrative procedures and requirements <strong>in</strong>volved <strong>in</strong> <strong>the</strong><br />

f<strong>in</strong>al steps <strong>of</strong> <strong>the</strong> amalgamation process.<br />

The ma<strong>in</strong> change <strong>in</strong>troduced by <strong>the</strong> <strong>Registered</strong> <strong>Clubs</strong> Amendment Act and<br />

Regulation is to replace <strong>the</strong> Deed <strong>of</strong> Amalgamation (Deed) with an MOU (see step 5<br />

above). A Deed requires legal draft<strong>in</strong>g and <strong>in</strong>put, whereas clubs can draft and easily<br />

amend a MOU. This could help clubs reduce legal costs and allow more flexibility to<br />

<strong>in</strong>corporate changes as <strong>the</strong> negotiations proceed.<br />

O<strong>the</strong>r major changes as a result <strong>of</strong> <strong>the</strong> <strong>Registered</strong> <strong>Clubs</strong> Amendment Act and<br />

Regulation <strong>in</strong>clude:<br />

rais<strong>in</strong>g <strong>the</strong> limit on <strong>the</strong> number <strong>of</strong> amalgamations a club can enter <strong>in</strong>to from four<br />

to 10<br />

requir<strong>in</strong>g clubs to look for Expressions <strong>of</strong> Interest (EOI) from with<strong>in</strong> a 50km<br />

radius <strong>of</strong> <strong>the</strong>ir club (regardless <strong>of</strong> whe<strong>the</strong>r <strong>the</strong> club is metro or non-metropolitan)<br />

replac<strong>in</strong>g ‘major assets’, which had to be negotiated between <strong>the</strong> clubs and<br />

recorded <strong>in</strong> <strong>the</strong> Deed, with ‘core property’ as def<strong>in</strong>ed <strong>in</strong> <strong>the</strong> <strong>Registered</strong> <strong>Clubs</strong><br />

Act. 195<br />
