9 Improv<strong>in</strong>g corporate governance<br />

to recruit<strong>in</strong>g club managers and assess<strong>in</strong>g <strong>the</strong>ir performance, and provid<strong>in</strong>g<br />

greater clarity about <strong>the</strong> respective roles <strong>of</strong> <strong>the</strong> club’s board and management<br />

enhanc<strong>in</strong>g <strong>Clubs</strong><strong>NSW</strong>’s role <strong>in</strong> encourag<strong>in</strong>g better corporate governance <strong>in</strong> clubs<br />

and assist<strong>in</strong>g smaller clubs with <strong>the</strong>ir compliance obligations<br />

improv<strong>in</strong>g <strong>the</strong> exist<strong>in</strong>g club-specific tra<strong>in</strong><strong>in</strong>g available to directors and managers.<br />

IPART’s recommendations <strong>in</strong> relation to <strong>the</strong>se <strong>in</strong>itiatives are discussed below. In<br />

formulat<strong>in</strong>g <strong>the</strong>se recommendations, IPART took <strong>the</strong> view that government<br />

<strong>in</strong>tervention should be reserved for deal<strong>in</strong>g with <strong>the</strong> most critical corporate<br />

governance issues. Where possible, IPART’s recommendations use non-coercive<br />

devices, such as <strong>the</strong> Code <strong>of</strong> Practice and Best Practice Guidel<strong>in</strong>es, ra<strong>the</strong>r than<br />

impos<strong>in</strong>g new legislative requirements.<br />

9.3.1 Improv<strong>in</strong>g <strong>the</strong> skills <strong>of</strong> directors through core tra<strong>in</strong><strong>in</strong>g and performance<br />

assessments<br />

Dur<strong>in</strong>g this review, stakeholders expressed concern about deficiencies <strong>in</strong> <strong>the</strong> skills <strong>of</strong><br />

board directors, <strong>in</strong>clud<strong>in</strong>g that some directors:<br />

do not have a strong grasp <strong>of</strong> f<strong>in</strong>ancial concepts and lack bus<strong>in</strong>ess acumen 146<br />

do not clearly understand <strong>the</strong>ir role and responsibilities 147<br />

<br />

do not have a strategic focus, and <strong>in</strong>stead opt to deal with more m<strong>in</strong>or operational<br />

matters. 148<br />

To address <strong>the</strong>se deficiencies, many stakeholders suggested that directors should be<br />

required to complete appropriate tra<strong>in</strong><strong>in</strong>g. Some also suggested that boards should<br />

be encouraged to use performance assessments, as clubs such as Wagga RSL Club do<br />

(see Box 9.3).<br />

In l<strong>in</strong>e with stakeholders’ views, IPART considers that to improve directors’ skills,<br />

<strong>the</strong>y should be required to undertake a certa<strong>in</strong> level <strong>of</strong> tra<strong>in</strong><strong>in</strong>g, both when <strong>the</strong>y<br />

nom<strong>in</strong>ate <strong>the</strong>mselves for election and after <strong>the</strong>y are elected to <strong>the</strong> board. It also<br />

considers that directors should be encouraged to use performance assessments to<br />

identify areas <strong>of</strong> <strong>the</strong>ir skills that <strong>the</strong>y need to improve.<br />
