11 Mak<strong>in</strong>g it easier for clubs to amalgamate<br />

Under scenario 3, where members may be will<strong>in</strong>g to consider amalgamation but<br />

directors are not will<strong>in</strong>g “to give up <strong>the</strong>ir blazers” 213 , <strong>the</strong> board <strong>of</strong> directors may<br />

knock back any amalgamation approaches and members would not be <strong>in</strong>formed.<br />

But if members were aware <strong>of</strong> <strong>the</strong> f<strong>in</strong>ancial position <strong>of</strong> <strong>the</strong> club and <strong>the</strong><br />

amalgamation proposal by ano<strong>the</strong>r club, <strong>the</strong>y may well decide to vote <strong>in</strong> favour <strong>of</strong><br />

amalgamation or at least fur<strong>the</strong>r <strong>in</strong>vestigation <strong>of</strong> this option. This raises <strong>the</strong> question,<br />

when does <strong>the</strong> board have a duty to disclose amalgamation <strong>of</strong>fers to its members?<br />

<strong>Clubs</strong><strong>NSW</strong> put <strong>the</strong> view that <strong>in</strong>form<strong>in</strong>g members <strong>of</strong> amalgamation <strong>of</strong>fers as <strong>the</strong>y are<br />

made can compromise negotiations. However, it also submitted that <strong>the</strong>re is merit <strong>in</strong><br />

clubs disclos<strong>in</strong>g <strong>in</strong> <strong>the</strong>ir annual report any amalgamation <strong>of</strong>fers and <strong>the</strong> details <strong>of</strong> <strong>the</strong><br />

board’s consideration <strong>of</strong> those <strong>of</strong>fers. 214<br />

IPART accepts that reveal<strong>in</strong>g details <strong>of</strong> a potential amalgamation <strong>of</strong>fer that is still<br />

be<strong>in</strong>g f<strong>in</strong>alised might compromise negotiations. However, IPART also considers that<br />

disclos<strong>in</strong>g amalgamation <strong>of</strong>fers only <strong>in</strong> <strong>the</strong> annual report would delay disclosure for<br />

too long. IPART is <strong>of</strong> <strong>the</strong> view that formal amalgamation <strong>of</strong>fers should be disclosed<br />

to members <strong>in</strong> a timely manner. 215 This would be <strong>the</strong> case particularly for clubs that<br />

receive a proposal from ano<strong>the</strong>r club to amalgamate. The reason for notify<strong>in</strong>g<br />

members <strong>of</strong> formal amalgamation <strong>of</strong>fers is to provide an avenue for members to<br />

provide timely <strong>in</strong>put to <strong>the</strong> board <strong>of</strong> <strong>the</strong> club, especially if <strong>the</strong> members and <strong>the</strong><br />

board have oppos<strong>in</strong>g views.<br />

Def<strong>in</strong><strong>in</strong>g what constitutes a formal <strong>of</strong>fer may be difficult. However, where a board<br />

has formally considered an amalgamation proposal and made a decision, IPART<br />

considers that this outcome should be disclosed to its members as soon as<br />

practicable. This would also give members <strong>the</strong> opportunity to express <strong>the</strong>ir views on<br />

whe<strong>the</strong>r <strong>the</strong>y th<strong>in</strong>k <strong>the</strong> board has made <strong>the</strong> right decision, or whe<strong>the</strong>r <strong>the</strong> board<br />

should review its decision.<br />

IPART considers that a reasonable time period for boards to <strong>in</strong>form members is 30<br />

bus<strong>in</strong>ess days from <strong>the</strong> date <strong>the</strong> board makes its decision. This would effectively<br />

give clubs around six weeks to draft a notice and approve it at <strong>the</strong> next monthly<br />

board meet<strong>in</strong>g and <strong>the</strong>n communicate it to members, for example by mail, on <strong>the</strong><br />

club’s website, and <strong>in</strong> a notice on <strong>the</strong> message board <strong>of</strong> <strong>the</strong> club premises.<br />

Recommendation<br />

58 That <strong>the</strong> management and board <strong>of</strong> a club be required to <strong>in</strong>form its members, with<strong>in</strong> 30<br />

bus<strong>in</strong>ess days, after a board decision regard<strong>in</strong>g a formal amalgamation <strong>of</strong>fer has been<br />

made. The disclosure to members should <strong>in</strong>clude <strong>in</strong>formation on <strong>the</strong> reasons for its<br />

decision.<br />
