11 Mak<strong>in</strong>g it easier for clubs to amalgamate<br />

IPART found that <strong>the</strong>re are some clubs for which no amount <strong>of</strong> improved f<strong>in</strong>ancial<br />

management can ensure <strong>the</strong>ir <strong>in</strong>dividual survival. In some cases, closure <strong>of</strong> a club<br />

might be <strong>the</strong> only appropriate outcome. However, given that clubs are custodians <strong>of</strong><br />

community assets, amalgamation with ano<strong>the</strong>r club may be a positive alternative to<br />

closure that protects and preserves those assets and <strong>the</strong>ir benefits to <strong>the</strong> community.<br />

IPART reviewed <strong>the</strong> procedure for amalgamations and movement <strong>of</strong> assets between<br />

registered clubs, and found that some areas <strong>of</strong> <strong>the</strong> current process create barriers to<br />

amalgamation, whe<strong>the</strong>r <strong>in</strong>tentionally or not. For example:<br />

The complexity <strong>of</strong> <strong>the</strong> amalgamation process and <strong>the</strong> <strong>in</strong>volvement <strong>of</strong> various<br />

government bodies and pr<strong>of</strong>essionals make it quite a daunt<strong>in</strong>g undertak<strong>in</strong>g,<br />

especially for smaller clubs with fewer resources.<br />

The cost associated with amalgamation is also a burden for <strong>the</strong> clubs <strong>in</strong>volved,<br />

particularly <strong>the</strong> legal costs, due diligence costs, associated fees and <strong>the</strong> need for<br />

<strong>the</strong> parent club to <strong>in</strong>vest <strong>in</strong> <strong>the</strong> o<strong>the</strong>r club. Legislated restrictions related to<br />

gam<strong>in</strong>g mach<strong>in</strong>e entitlements and deal<strong>in</strong>g with <strong>the</strong> major assets <strong>of</strong> <strong>the</strong> dissolved<br />

club <strong>in</strong> an amalgamation also create a f<strong>in</strong>ancial dis<strong>in</strong>centive to amalgamation for<br />

<strong>the</strong> parent club.<br />

The tim<strong>in</strong>g <strong>of</strong> an amalgamation is critical to its success. Experience <strong>in</strong>dicates that<br />

it is better for struggl<strong>in</strong>g clubs to consider amalgamation earlier ra<strong>the</strong>r than later.<br />

However, <strong>the</strong>re are two ma<strong>in</strong> obstacles to timely amalgamation:<br />

– As Chapter 6 discussed, many clubs do not understand <strong>the</strong>ir own f<strong>in</strong>ancial<br />

position, which can result <strong>in</strong> <strong>the</strong>m fail<strong>in</strong>g to consider amalgamation until it is<br />

too late. The recommendations made <strong>in</strong> Chapters 7 and 8 should help to<br />

address this barrier.<br />

– The <strong>in</strong>ability <strong>of</strong> club members and/or directors to consider amalgamation as a<br />

’first choice‘ strategy to improve a club’s viability, which can delay <strong>the</strong><br />

important decision to pursue amalgamation.<br />

IPART also found that management agreements can provide clubs (that are<br />

consider<strong>in</strong>g amalgamat<strong>in</strong>g) with a better understand<strong>in</strong>g <strong>of</strong> what an amalgamation<br />

may br<strong>in</strong>g to both entities.<br />

The sections below expla<strong>in</strong> <strong>the</strong> process and role <strong>of</strong> amalgamation, and discuss<br />

IPART’s f<strong>in</strong>d<strong>in</strong>gs and recommendations on overcom<strong>in</strong>g <strong>the</strong> barriers to amalgamation<br />

and us<strong>in</strong>g management agreements as a first step towards amalgamation.<br />
