8 Establish<strong>in</strong>g a Club Viability Panel<br />
Undertak<strong>in</strong>g <strong>the</strong> review would <strong>in</strong>volve <strong>the</strong> secretariat (or approved consultant)<br />
<strong>in</strong>vestigat<strong>in</strong>g <strong>the</strong> operational and f<strong>in</strong>ancial performance measures <strong>of</strong> <strong>the</strong> club to ga<strong>in</strong><br />
a better understand<strong>in</strong>g <strong>of</strong> <strong>the</strong> extent <strong>of</strong> <strong>the</strong> club’s f<strong>in</strong>ancial position, and identify<br />
whe<strong>the</strong>r it is experienc<strong>in</strong>g f<strong>in</strong>ancial distress.<br />
If <strong>the</strong> review found that <strong>the</strong> club was <strong>in</strong> f<strong>in</strong>ancial distress, <strong>the</strong> secretariat (or<br />
approved consultant) would also identify what options are available to <strong>the</strong> club to<br />
address any identified concerns. These options might <strong>in</strong>clude:<br />

Engag<strong>in</strong>g an <strong>in</strong>dustry consultant to work with <strong>the</strong> club to formulate and<br />
implement remedial actions. For example, <strong>the</strong> detailed f<strong>in</strong>ancial review may<br />
identify that a particular segment <strong>of</strong> <strong>the</strong> club’s operations is plac<strong>in</strong>g a significant<br />
dra<strong>in</strong> on <strong>the</strong> club’s f<strong>in</strong>ancial position so <strong>the</strong> club could engage a specialist<br />
consultant to advise it on remedial action for that operational segment.<br />
Ref<strong>in</strong>anc<strong>in</strong>g or restructur<strong>in</strong>g bank debt. The detailed f<strong>in</strong>ancial review may<br />
identify that <strong>the</strong> club’s f<strong>in</strong>ancial performance is <strong>in</strong> l<strong>in</strong>e with <strong>in</strong>dustry benchmarks<br />
and <strong>the</strong>re are strong cash flows; however, <strong>the</strong> reason for <strong>the</strong> f<strong>in</strong>ancial distress is<br />
onerous repayment covenants on bank debt.<br />
Amalgamat<strong>in</strong>g with ano<strong>the</strong>r club. The detailed f<strong>in</strong>ancial review may identify that<br />
<strong>the</strong> club’s medium-term solvency is questionable and that <strong>the</strong> board should<br />
consider amalgamation. In this case, <strong>the</strong> review could also provide <strong>in</strong>formation<br />
about <strong>the</strong> amalgamation process and <strong>the</strong> pros and cons. In addition, <strong>the</strong> Panel<br />
could refer clubs <strong>in</strong>terested <strong>in</strong> pursu<strong>in</strong>g this option to o<strong>the</strong>r service providers,<br />
such as appropriate government agencies, legal consultants, f<strong>in</strong>ancial advisers,<br />
and <strong>in</strong>vestigative accountants. Though it is not expected that <strong>the</strong> Panel would<br />
have a list <strong>of</strong> recommended service providers, it could provide advice to clubs<br />
about <strong>the</strong> type <strong>of</strong> pr<strong>of</strong>essional assistance <strong>the</strong>y are likely to require.<br />
Recommendation<br />
32 When a club accepts <strong>the</strong> Panel’s <strong>of</strong>fer <strong>of</strong> a more detailed, comprehensive review <strong>of</strong> its<br />
f<strong>in</strong>ancial position, that this review be undertaken by <strong>the</strong> Panel’s secretariat or an<br />
approved consultant. That <strong>the</strong> review provide <strong>the</strong> club with a detailed assessment <strong>of</strong> its<br />
f<strong>in</strong>ancial viability and <strong>in</strong>formation about options to address identified weaknesses.<br />
8.4.5 Provid<strong>in</strong>g fur<strong>the</strong>r assistance to clubs confirmed as be<strong>in</strong>g <strong>in</strong> f<strong>in</strong>ancial distress<br />
If <strong>the</strong> more detailed review confirms that a club is <strong>in</strong> f<strong>in</strong>ancial distress, <strong>the</strong> club<br />
would be eligible to apply to <strong>the</strong> Panel for f<strong>in</strong>ancial assistance to pursue fur<strong>the</strong>r<br />
action <strong>in</strong> relation to <strong>the</strong> options identified by <strong>the</strong> review. For example, <strong>the</strong> club might<br />
apply for f<strong>in</strong>ancial assistance for:<br />

remedial strategies<br />
obta<strong>in</strong><strong>in</strong>g advice to restructure or ref<strong>in</strong>ance debt<br />
undertak<strong>in</strong>g due diligence <strong>of</strong> potential amalgamation partners<br />
