11 Mak<strong>in</strong>g it easier for clubs to amalgamate<br />
Recommendation<br />
54 That OLGR, <strong>in</strong> consultation with <strong>the</strong> <strong>in</strong>dustry, <strong>the</strong> Panel and <strong>the</strong> public, develop a<br />
comprehensive guide to amalgamation. It should be a comprehensive guide written <strong>in</strong><br />
pla<strong>in</strong> English that <strong>in</strong>cludes (but is not restricted to):<br />
– <strong>in</strong>formation on ways to approach an amalgamation<br />
– details on <strong>the</strong> legal requirements <strong>of</strong> amalgamation, how <strong>the</strong>y should be carried out<br />
and <strong>in</strong> what order<br />
– a list <strong>of</strong> <strong>the</strong> major issues to consider when amalgamat<strong>in</strong>g, <strong>in</strong>clud<strong>in</strong>g f<strong>in</strong>ancial, due<br />
diligence, operational and strategic plann<strong>in</strong>g matters.<br />
11.3.2 Uncerta<strong>in</strong>ty about whe<strong>the</strong>r <strong>the</strong> amalgamation will get f<strong>in</strong>al approval<br />
As discussed above, after complet<strong>in</strong>g <strong>the</strong> six steps <strong>of</strong> <strong>the</strong> amalgamation process<br />
outl<strong>in</strong>ed <strong>in</strong> section 11.1.1, clubs are also required to f<strong>in</strong>alise <strong>the</strong> amalgamation,<br />
<strong>in</strong>clud<strong>in</strong>g apply<strong>in</strong>g for a transfer <strong>of</strong> <strong>the</strong> o<strong>the</strong>r club’s liquor licence, and w<strong>in</strong>d<strong>in</strong>g up<br />
<strong>the</strong> o<strong>the</strong>r club, <strong>in</strong>clud<strong>in</strong>g transferr<strong>in</strong>g its bus<strong>in</strong>ess and core property to <strong>the</strong> parent<br />
club.<br />
Dur<strong>in</strong>g this review, stakeholders expressed concerns about <strong>the</strong> previous<br />
adm<strong>in</strong>istrative procedures <strong>in</strong> this f<strong>in</strong>al stage <strong>of</strong> <strong>the</strong> amalgamation process. Under<br />
<strong>the</strong>se previous procedures, after step 6, if club members approved <strong>the</strong> amalgamation<br />
<strong>the</strong>n <strong>the</strong> parent club needed to take <strong>the</strong> follow<strong>in</strong>g additional steps:<br />

Mak<strong>in</strong>g a conditional application to <strong>the</strong> Licens<strong>in</strong>g Court for approval <strong>of</strong> <strong>the</strong><br />
amalgamation.<br />
Transferr<strong>in</strong>g <strong>the</strong> o<strong>the</strong>r club’s assets and liabilities to <strong>the</strong> parent club: if <strong>the</strong><br />
conditional application was approved, <strong>the</strong> o<strong>the</strong>r club usually went <strong>in</strong>to voluntary<br />
liquidation as a means <strong>of</strong> w<strong>in</strong>d<strong>in</strong>g up its bus<strong>in</strong>ess and transferr<strong>in</strong>g its assets and<br />
liabilities to <strong>the</strong> parent club.<br />
Mak<strong>in</strong>g a fur<strong>the</strong>r application to <strong>the</strong> Licens<strong>in</strong>g Court for f<strong>in</strong>al approval <strong>of</strong> <strong>the</strong><br />
amalgamation: this <strong>in</strong>volved <strong>the</strong> parent club apply<strong>in</strong>g to have <strong>the</strong> o<strong>the</strong>r club<br />
added to its certificate <strong>of</strong> registration and <strong>the</strong> o<strong>the</strong>r club’s registration be<strong>in</strong>g<br />
dissolved.<br />
Stakeholders <strong>in</strong>dicated that under <strong>the</strong>se arrangements, when clubs ga<strong>in</strong>ed<br />
conditional approval, <strong>the</strong>re was no certa<strong>in</strong>ty that <strong>the</strong>y would ga<strong>in</strong> f<strong>in</strong>al approval, and<br />
this added to <strong>the</strong> difficulties <strong>of</strong> amalgamation.<br />
