elements will no longer be offered by Bell<strong>South</strong> at TELRIC prices. Within ninety<br />

(90) calendar days of the Effective Date of this Amendment, <strong>TC</strong> SYSTEMS will<br />

either negotiate market-based rates for these elements or will issue orders to have<br />

these elements disconnected. If, after this ninety (90)-day period, market-based<br />

rates have not been negotiated and <strong>TC</strong> SYSTEMS has not issued the appropriate<br />

disconnect orders, Bell<strong>South</strong> may immediately disconnect any remaining USLF<br />

elements and will bill <strong>TC</strong> SYSTEMS any applicable disconnect charges.<br />

2.8.5 Unbundled Loop Concentration<br />

2.8.5.1 Upon the Effective Date of this Amendment, the Unbundled Loop Concentration<br />

(ULC) element will no longer be offered by Bell<strong>South</strong> and no new orders for ULC<br />

will be accepted. Any existing ULCs that were provisioned prior to the Effective<br />

Date of this Amendment will be grandfathered at the rates set forth in the Parties’<br />

interconnection agreement that was in effect immediately prior to this Amendment<br />

and may remain connected, maintained and repaired according to Bell<strong>South</strong>’s<br />

TR73600 until such time as they are disconnected by <strong>TC</strong> SYSTEMS, or Bell<strong>South</strong><br />

provides ninety (90) calendar days notice that such ULC must be terminated.<br />

2.8.6 Dark Fiber Loop<br />

2.8.6.1 Dark Fiber Loop is an unused optical transmission facility, without attached signal<br />

regeneration, multiplexing, aggregation or other electronics, from the demarcation<br />

point at an end user’s premises to the end user’s serving wire center. Dark Fiber<br />

Loops may be strands of optical fiber existing in aerial or underground structure.<br />

Bell<strong>South</strong> will not provide line terminating elements, regeneration or other<br />

electronics necessary for <strong>TC</strong> SYSTEMS to utilize Dark Fiber Loops.<br />

2.8.6.2 Transition for Dark Fiber Loop<br />

2.8.6.2.1 For purposes of this Section 2.8.6, the Transition Period for Dark Fiber Loops is<br />

the eighteen (18) month period beginning March 11, 2005 and ending<br />

September 10, 2006.<br />

2.8.6.2.2 For purposes of this Section 2.8.6, Embedded Base means Dark Fiber Loops that<br />

were in service for <strong>TC</strong> SYSTEMS as of March 10, 2005. Subsequent disconnects<br />

or loss of end users shall be removed from the Embedded Base.<br />

2.8.6.3 During the Transition Period only, Bell<strong>South</strong> shall make available for the<br />

Embedded Base Dark Fiber Loops for <strong>TC</strong> SYSTEMS at the terms and conditions<br />

set forth in this Attachment.<br />

2.8.6.4 Notwithstanding the Effective Date of this Agreement, the rates for <strong>TC</strong><br />

SYSTEMS’s Embedded Base of Dark Fiber Loops during the Transition Period<br />

shall be as set forth in Exhibit A.<br />
