states applicable under this Agreement and having a Best’s Insurance Rating<br />

of A-.<br />

21.2 <strong>TC</strong> SYSTEMS shall maintain the following specific coverage, with<br />

Bell<strong>South</strong> as an additional named insured:<br />

21.2.1 Commercial General Liability coverage in the amount of ten million dollars<br />

($10,000,000.00) or a combination of Commercial General Liability and<br />

Excess/Umbrella coverage totaling not less than ten million dollars<br />

($10,000,000.00). Bell<strong>South</strong> shall be included as an Additional Insured on<br />

the Commercial General Liability policy with respect to the activities of <strong>TC</strong><br />

SYSTEMS pursuant to this Agreement, for which <strong>TC</strong> SYSTEMS has legally<br />

assumed responsibility.<br />

21.2.2 Business auto coverage for all owned, non-owned, hired and leased vehicles<br />

with limits of not less than $1,000,000 per occurrence and in the aggregate.<br />

21.2.3 Statutory Workers Compensation coverage and Employers Liability coverage<br />

in the amount of one hundred thousand dollars ($100,000.00) each accident,<br />

one hundred thousand dollars ($100,000.00) each employee by disease, and<br />

five hundred thousand dollars ($500,000.00) policy limit by disease.<br />

21.2.4 All Risk Property coverage on a full replacement cost basis insuring all of <strong>TC</strong><br />

SYSTEMS’s real and personal property situated on or within Bell<strong>South</strong>’s<br />

Central Office location(s).<br />

21.2.5 <strong>TC</strong> SYSTEMS may elect to purchase business interruption and contingent<br />

business interruption.<br />

21.3 The limits set forth in Section 21.2 above may be increased by Bell<strong>South</strong> from<br />

time to time during the term of this Agreement upon thirty (30) calendar days<br />

notice to <strong>TC</strong> SYSTEMS to at least such minimum limits as shall then be<br />

customary with respect to comparable occupancy of Bell<strong>South</strong> structures.<br />

21.4 To the extent of Bell<strong>South</strong>’s coverage as an additional insured under <strong>TC</strong><br />

SYSTEMS’s Commercial General and Excess/Umbrella Liability policies,<br />

such policies shall be deemed to be primary and not contributing to any similar<br />

coverage purchased by Bell<strong>South</strong>. All insurance must be in effect on or<br />

before the date equipment is delivered to Bell<strong>South</strong>’s Premises and shall<br />

remain in effect for the term of this Attachment or until all <strong>TC</strong> SYSTEMS's<br />

property has been removed from Bell<strong>South</strong>'s Premises, whichever period is<br />

longer. If <strong>TC</strong> SYSTEMS fails to maintain required coverage, Bell<strong>South</strong> may,<br />

after a cure period of thirty (30) business days following <strong>TC</strong> SYSTEMS’s<br />

receipt of written notice from Bell<strong>South</strong> of such lapse, pay the premiums<br />

thereon and seek reimbursement of same from <strong>TC</strong> SYSTEMS.<br />
