or converted to other Bell<strong>South</strong> services) pursuant to Section 1.6. The Parties<br />

agree to work cooperatively to confirm that the facilities on the spreadsheet are the<br />

facilities to be included in <strong>TC</strong> SYSTEMS’s Subsequent Embedded Base. The<br />

Parties shall negotiate a project schedule for the Conversion of the Embedded<br />

Base, Embedded Base Entrance Facilities and Excess DS1 and DS3 Dedicated<br />

Transport. Bell<strong>South</strong> shall charge the non-recurring switch-as-is rate for these<br />

conversions.<br />

5.2.6.9.1 If <strong>TC</strong> SYSTEMS fails to submit the spreadsheet(s) specified in Section 5.2.6.9<br />

above for at least 95% of its Embedded Base, Embedded Base Entrance Facilities<br />

and Excess DS1 and DS3 Dedicated Transport prior to December 9, 2005,<br />

Bell<strong>South</strong> will identify <strong>TC</strong> SYSTEMS's remaining Embedded Base, Embedded<br />

Base Entrance Facilities and Excess DS1 and DS3 Dedicated Transport, if any,<br />

and will transition such circuits to the equivalent tariffed Bell<strong>South</strong> service(s).<br />

Those circuits identified and transitioned by Bell<strong>South</strong> pursuant to this Section<br />

5.2.6.9.1 shall be subject to all applicable disconnect charges as set forth in this<br />

Agreement and the full nonrecurring charges for installation of the equivalent<br />

tariffed Bell<strong>South</strong> service as set forth in Bell<strong>South</strong>'s tariffs. If it is determined that<br />

<strong>TC</strong> SYSTEMS failed to submit spreadsheets or to convert 5% or less of <strong>TC</strong><br />

SYSTEMS’s Embedded Base, Embedded Base Entrance Facilities and Excess<br />

DS1 and DS3 Dedicated Transport, Bell<strong>South</strong> will not convert such 5% or less of<br />

its Embedded Base and Excess DS1 and DS3 Loops, but will alert <strong>TC</strong> SYSTEMS<br />

of the 5% or less of the Embedded Base and Excess DS1 and DS3 Loops that was<br />

not converted by <strong>TC</strong> SYSTEMS and allow <strong>TC</strong> SYSTEMS thirty (30) days to<br />

convert such DS1 and DS3 Loops. To the extent that <strong>TC</strong> SYSTEMS fails to<br />

convert the remaining Embedded Base and Excess DS1 and DS3 Loops within<br />

such thirty (30) day period, Bell<strong>South</strong> will identify and transition such circuits as<br />

described in this paragraph.<br />

5.2.6.9.2 For Embedded Base circuits, Embedded Base Entrance Facilities and Excess DS1<br />

and DS3 Dedicated Transport converted pursuant to Section 5.1.6.9 or<br />

transitioned pursuant to 5.1.6.9.1, the applicable recurring tariff charge shall apply<br />

to each circuit as of the earlier of the date each circuit is converted or transitioned,<br />

as applicable, or March 11, 2006.<br />

5.2.6.10 Modifications and Updates to the Wire Center List and Subsequent Transition<br />

Periods<br />

5.2.6.10.1 In the event Bell<strong>South</strong> identifies additional wire centers that meet the criteria set<br />

forth in Section 5.2.6.1 or 5.2.6.2, but that were not included in the Initial Wire<br />

Center List, Bell<strong>South</strong> shall include such additional wire centers in CNL. Each<br />

such list of additional wire centers shall be considered a Subsequent Wire Center<br />

List.<br />
