responsibility to pay such charges imposed by <strong>TC</strong> SYSTEMS’s Bell<strong>South</strong> Certified Supplier.<br />

<strong>TC</strong> SYSTEMS must provide the local Bell<strong>South</strong> Remote Site Location contact with two cards,<br />

keys or other access device used to enter the locked enclosure. Access Keys provided to<br />

Bell<strong>South</strong> shall not be duplicated under any circumstances. Bell<strong>South</strong> shall notify <strong>TC</strong><br />

SYSTEMS in writing immediately in the case of lost or stolen Access Keys.<br />

Bell<strong>South</strong> will reimburse <strong>TC</strong> SYSTEMS the reasonable costs to replace each Access<br />

Key lost or stolen. Should it become necessary for <strong>TC</strong> SYSTEMS to re-key locked<br />

enclosures as a result of a lost Access Key(s) or for failure to return an Access Key(s),<br />

Bell<strong>South</strong> shall pay for all reasonable costs associated with the re-keying. <strong>TC</strong><br />

SYSTEMS shall have the right, at its expense, to have locks changed where deemed<br />

necessary for the protection and security of its locked enclosures, provided that <strong>TC</strong><br />

SYSTEMS shall immediately provide Bell<strong>South</strong> with such new keys. Except in the<br />

case of an emergency, Bell<strong>South</strong> will not access <strong>TC</strong> SYSTEMS’s locked enclosure<br />

prior to notifying <strong>TC</strong> SYSTEMS at least forty-eight (48) hours or two (2) business<br />

days, whichever is greater, before access to the Remote Site Location is required.<br />

3.4.2 <strong>TC</strong> SYSTEMS must submit its plans and specifications to Bell<strong>South</strong> with its Firm<br />

Order. Bell<strong>South</strong> shall review <strong>TC</strong> SYSTEMS’s plans and specifications prior to<br />

construction of a Remote Site Adjacent Arrangement(s) to ensure compliance with<br />

Bell<strong>South</strong>’s Specifications. Bell<strong>South</strong> shall complete its review within fifteen (15)<br />

calendar days after receipt of plans and specifications. Bell<strong>South</strong> may inspect the<br />

Remote Site Adjacent Arrangement(s) during and after construction to confirm it is<br />

constructed according to the submitted plans and specifications. Bell<strong>South</strong> shall<br />

require <strong>TC</strong> SYSTEMS to remove or correct within seven (7) calendar days at <strong>TC</strong><br />

SYSTEMS’s expense any structure that does not meet these plans and specifications<br />

or, where applicable, Bell<strong>South</strong>’s Specifications.<br />

3.4.3 <strong>TC</strong> SYSTEMS shall provide a concrete pad, the structure housing the arrangement,<br />

heating/ventilation/air conditioning (“HVAC”), lighting, and all facilities that connect<br />

the structure (i.e. racking, conduits, etc.) to the Bell<strong>South</strong> point of demarcation. At<br />

<strong>TC</strong> SYSTEMS’s option, and where the local authority having jurisdiction permits,<br />

Bell<strong>South</strong> shall provide an AC power source and access to physical collocation<br />

services and facilities subject to the same nondiscriminatory requirements as applicable<br />

to any other physical collocation arrangement. Where <strong>TC</strong> SYSTEMS has elected to<br />

construct the adjacent enclosure itself, Bell<strong>South</strong> shall deliver to <strong>TC</strong> SYSTEMS the<br />

requested ground space thirty (30) days after Bell<strong>South</strong> receives <strong>TC</strong> SYSTEMS’s<br />

Bona Fide Firm Order, unless Bell<strong>South</strong> requests an extension of that time, which <strong>TC</strong><br />

SYSTEMS will not unreasonably withhold. Bell<strong>South</strong> will provide DC power in an<br />

adjacent enclosure provided that such provisioning can be done in compliance with all<br />

applicable national electrical and safety code or any local codes, such as but not limited<br />

to zoning codes, provided that Bell<strong>South</strong> and <strong>TC</strong> SYSTEMS can agree upon a<br />

reasonable price for the provision of this service, and provided that Bell<strong>South</strong> and <strong>TC</strong><br />

SYSTEMS can negotiate a reasonable provisioning interval. <strong>TC</strong> SYSTEMS’s<br />

Bell<strong>South</strong> Certified Supplier shall be responsible, at <strong>TC</strong> SYSTEMS’s expense, for<br />

filing and receiving any and all necessary zoning, permits and/or licenses for such<br />
