海 洋 公 園 公 司 - 重 建 計 劃
海 洋 公 園 公 司 獲 政 府 的 貸 款 和 擔
保 , 展 開 一 項 價 值 55 億 5,000 萬 元 的 重
建 計 劃 , 以 擴 充 園 內 的 遊 樂 設 施 。 由 於
所 涉 及 的 資 本 投 資 非 常 龐 大 , 防 貪 處 就
重 建 計 劃 的 推 行 , 向 海 洋 公 園 公 司 提 供
適 時 的 防 貪 意 見 。 在 委 聘 顧 問 及 承 建 商
事 宜 上 , 防 貪 處 建 議 該 公 司 在 合 約 中 加
入 條 文 , 規 定 顧 問 、 承 建 商 及 其 職 員 須
履 行 誠 信 守 則 , 而 顧 問 公 司 更 須 申 報 任
何 與 承 建 商 有 關 的 利 益 衝 突 情 況 。 海 洋

使 招 標 安 排 更 公 平 、 更 具 透 明 度 。 防 貪

顧 問 服 務
為 推 動 廉 潔 公 正 的 營 商 行 為 , 防
貪 處 積 極 協 助 私 營 機 構 提 高 誠 信 , 以 及
Prosecutions Division of DoJ maintains three
briefing out lists, one for each level of court,
for this purpose. Fiat counsel are selected from
these lists based on a rotation system. If the
length, complexity or sensitivity of a case is such
that it needs to be briefed out at a non-standard
rate, the in-house counsel in charge of the case
recommends a shortlist of counsel who are then
invited to make quotations. For these cases, the
terms of engagement are decided by the Director
of Public Prosecutions acting on the advice of
the Prosecutions Division Selection Board which
he chairs. A representative of the Independent
Commission Against Corruption attends the Board
as an observer. In 2004/05, $32.7 million was
spent on standard briefing out and $10.6 million
on non-standard briefing out cases.
To better manage the briefing out lists,
we advised DoJ to update its "Briefing Out
Manual" and computerise the rotation system
for selecting fiat counsel. We also advised that
in-house counsel should be reminded to follow
the laid down requirement of documenting in their
submissions to the Selection Board the reason(s)
for recommending the counsel on the shortlist,
and record in greater details the justifications for
engaging the counsel not offering the lowest bid.

Committees (IMCs) and Related Seminars
Under the Education (Amendment)
Ordinance 2004, each aided school is required
to establish an IMC by 2009 to manage the
school. IMC schools are given greater autonomy
and flexibility in the use of public funds. In June
2006, EMB commissioned a financial consultant
to draw up a Financial Management Manual for
these schools. We advised EMB that the Manual
should provide guidance on the need for the
IMC to commit to ethical practices, particularly
in the avoidance and declaration of conflict of
interest. The IMC schools should also conduct
internal audits to ensure compliance with proper
operational procedures and keep records for
public monitoring of all the donations received,
including the justifications for accepting donations
from suppliers and textbook publishers, if this is
not avoidable.
