Utilities Inc
Nuon of the Netherlands acquired Utilities Inc. of Chicago in March 2002 for US$275 million, having
announced the bid in the previous March and undergone regulatory clearance. Utilities Inc was
founded in 1965 and is the holding company for approximately 90 subsidiaries, providing residential
water and/or wastewater services to more than 300,000 customers (approximately 905,000 people) in
400 municipalities in Arizona, Florida, Georgia, Illinois, Indiana, Louisiana, Maryland, Mississippi,
North Carolina, Nevada, New Jersey, Pennsylvania, Ohio, South Carolina, Tennessee, Virginia and
Kentucky. 10 subsidiaries were acquired during 2003, increasing the number of people served by
80,000. In 2002, Utilities Inc.'s revenues were US$61 million. In 2004, they had increased to US$85
million.

In May 2005, Nuon announced that it was selling Utilities Inc to Hydro Star. The divestment reflects
Nuon’s strategy of focusing on the energy markets of North-West Europe. Nuon is expected to realise
a book profit from the divestment. Hydro Star is a subsidiary of AIG Highstar Capital II, L.P., a private
equity fund which invests in infrastructure related assets and business and is sponsored by AIG
Global Investment Group (AIGGIG). AIGGIG member companies are subsidiaries of American
International Group, Inc. (AIG). The sale is likely to be finalised at the beginning of 2006.
