• Monitor<strong>in</strong>g of the adequacy and efficiency of the group’s<br />
<strong>in</strong>formation systems and receiv<strong>in</strong>g from them reports thereon<br />
• Review<strong>in</strong>g quarterly, <strong>in</strong>terim and f<strong>in</strong>al f<strong>in</strong>ancial results and<br />
statements and report<strong>in</strong>g for proper and complete disclosure<br />
of timely, reliable and consistent <strong>in</strong>formation and confirm<strong>in</strong>g<br />
the appropriateness of account<strong>in</strong>g policies used<br />
• Evaluat<strong>in</strong>g on an ongo<strong>in</strong>g basis the appropriateness, adequacy<br />

• Monitor<strong>in</strong>g the management and effectiveness of the account<strong>in</strong>g<br />
and taxation risks as set out <strong>in</strong> the group’s ERMF<br />
• Review<strong>in</strong>g and monitor<strong>in</strong>g all key <strong>performance</strong> <strong>in</strong>dicators to<br />
ensure that decision mak<strong>in</strong>g capabilities and the accuracy of<br />
the related report<strong>in</strong>g and f<strong>in</strong>ancial results they aid are ma<strong>in</strong>ta<strong>in</strong>ed<br />
at <strong>in</strong>dustry levels.<br />
Internal audit<br />
• Direct report<strong>in</strong>g by the group head <strong>in</strong>ternal audit to the chairman<br />
of the committee<br />
• Monitor<strong>in</strong>g the effectiveness of the <strong>in</strong>ternal audit function<br />
<strong>in</strong> terms of its scope, plans, coverage, <strong>in</strong>dependence,<br />
skills, staff<strong>in</strong>g, overall <strong>performance</strong> and position with<strong>in</strong> the<br />
organisation<br />
• Monitor<strong>in</strong>g and challeng<strong>in</strong>g, where appropriate, action taken<br />
by management with regard to adverse <strong>in</strong>ternal audit f<strong>in</strong>d<strong>in</strong>gs<br />
• Form<strong>in</strong>g a view on the adequacy and effectiveness of the<br />
control environment.<br />
External audit<br />
• Recommend<strong>in</strong>g to the board the selection of the external<br />
auditors and approv<strong>in</strong>g their audit fees<br />
• Monitor<strong>in</strong>g the effectiveness of external auditors <strong>in</strong> terms of<br />
their skills, <strong>in</strong>dependence, audit plan, report<strong>in</strong>g and overall<br />
<strong>performance</strong><br />
• Approv<strong>in</strong>g non-audit services to be rendered by the external<br />
auditors and monitor<strong>in</strong>g conflicts of <strong>in</strong>terest<br />
• Consider<strong>in</strong>g whether the extent of reliance placed on <strong>in</strong>ternal<br />
audit by the external auditors is appropriate and whether there<br />
are any significant gaps between <strong>in</strong>ternal and external audit.<br />
Regulatory report<strong>in</strong>g<br />
• Review<strong>in</strong>g the adequacy of the regulatory report<strong>in</strong>g processes,<br />
<strong>in</strong>clud<strong>in</strong>g the quality of that report<strong>in</strong>g and the adequacy of<br />
systems and people to perform these functions<br />
• Consider<strong>in</strong>g the contents of any regulatory reports related to<br />
thekeyfunctionsofthecommitteeandmonitor<strong>in</strong>gmanagement<br />
actions to resolve any issues identified<br />
• Perform<strong>in</strong>g such other functions as are prescribed <strong>in</strong> the<br />
regulations relat<strong>in</strong>g to the Act.<br />
Hav<strong>in</strong>g considered, analysed, reviewed and debated <strong>in</strong>formation<br />
provided by management, <strong>in</strong>ternal audit and external audit, the<br />
committee confirmed that:<br />
• the <strong>in</strong>ternal controls of the group have been effective <strong>in</strong> all<br />
material respects throughout the year under review;<br />
• these controls have ensured that the group’s assets have<br />
been safeguarded;<br />
• proper account<strong>in</strong>g records have been ma<strong>in</strong>ta<strong>in</strong>ed;<br />
• resources have been utilised efficiently; and<br />
• the skills, <strong>in</strong>dependence, audit plan, report<strong>in</strong>g and overall<br />
<strong>performance</strong> of the external auditors are acceptable and<br />
that it recommends their reappo<strong>in</strong>tment <strong>in</strong> 2010.<br />
Appropriateness of the expertise and experience<br />
of the chief f<strong>in</strong>ancial officer<br />
In terms of the JSE List<strong>in</strong>gs Requirements the audit committee<br />
had, at its meet<strong>in</strong>g held on 05 November <strong>2009</strong>, satisfied itself<br />
as to the appropriateness of the expertise and experience of<br />
the chief f<strong>in</strong>ancial officer.<br />
Annual f<strong>in</strong>ancial statements<br />
The committee has:<br />
• reviewed and discussed the audited annual f<strong>in</strong>ancial statements<br />
<strong>in</strong>cluded <strong>in</strong> the annual report with the external auditors, the<br />
chief executive officer and the chief f<strong>in</strong>ancial officer;<br />
• reviewed significant adjustments result<strong>in</strong>g from external audit<br />
queries and accepted any unadjusted audit differences; and<br />
• received and considered reports from the <strong>in</strong>ternal auditors.<br />
The committee concurs with and accepts the external auditors’<br />
conclusions on the annual f<strong>in</strong>ancial statements and has<br />
recommended the approval thereof to the board. The board<br />
has subsequently approved the f<strong>in</strong>ancial statements, which<br />
will be open for discussion at the forthcom<strong>in</strong>g annual general<br />
meet<strong>in</strong>g.<br />
