84. As <strong>of</strong>ficers, directors and/or controlling persons <strong>of</strong> a publicly held company whose<br />

stock is registered with the SEC under the 1934 Act and traded on the New York Stock Exchange,<br />

the <strong>Enron</strong> Defendants had a duty to promptly disseminate accurate and truthful information with<br />

respect to the Company's operations, business, products, markets, management, earnings, and present<br />

and future business prospects, to cause <strong>Enron</strong>'s financial statements to fairly present its financial<br />

condition and results from operations in conformity with GAAP, to correct any previously issued<br />

statements that had become untrue and to disclose any adverse trends that would materially affect<br />

the present and future financial operating results <strong>of</strong> the Company, so that the market price <strong>of</strong> the<br />
