(u) Defendant Lawrence Greg Whalley ("Whalley") was <strong>President</strong> and Chief<br />

Operating <strong>Office</strong>r <strong>of</strong> <strong>Enron</strong> since 8/01. Prior to that, Whalley was <strong>President</strong> and Chief Operating<br />

<strong>Office</strong>r <strong>of</strong> <strong>Enron</strong> Capital Wholesale Services. Whalley, in 11/01, told analysts and rating agencies<br />

that there were no additional partnerships that had undisclosed debt. Whalley was not considered<br />

an <strong>of</strong>ficer <strong>of</strong> <strong>Enron</strong> (at his request), so that his stock sales would not have to be reported. During the<br />

Class Period, while in possession <strong>of</strong> adverse undisclosed information about the Company, Whalley<br />

sold shares <strong>of</strong> his <strong>Enron</strong> stock for millions in illegal insider trading proceeds.<br />
