679. In 10/00, CitiGroup also served as a lead underwriter in the sale <strong>of</strong> 27.6 million shares<br />

<strong>of</strong> New Power stock in its IPO at $21 per share via a false and misleading prospectus. By taking<br />

New Power public and creating a market value for its shares, CitiGroup enabled <strong>Enron</strong> through a<br />

bogus transaction with a SPE controlled by LJM2 to record a huge $370 million 4thQ 00 pr<strong>of</strong>it on<br />

the purported "gain" in value on the 13.6 million shares and 42.1 million warrants <strong>of</strong> New Power<br />

which <strong>Enron</strong> continued to hold. As CitiGroup knew, this transaction was critical to <strong>Enron</strong> generating<br />

a huge $300+ million pr<strong>of</strong>it in its 4thQ 00 via a non-arm's-length transaction with LJM2 and an<br />

LJM2 SPE.<br />

680. In addition, during the Class Period, CitiGroup was one <strong>of</strong> the principal lending banks<br />

to <strong>Enron</strong>, acting with JP Morgan as lead bank on <strong>Enron</strong>'s main credit facilities, loaning hundreds <strong>of</strong><br />

millions <strong>of</strong> dollars to <strong>Enron</strong> itself and helping to syndicate over $4 billion in bank loans to <strong>Enron</strong>.<br />
