973. Andersen-Worldwide is the instrumentality through which the "one firm" concept<br />

becomes reality. Andersen's guiding principles were that the member firms' practices shall be<br />

correlated and coordinated on an international basis. It achieves this in four distinct ways.<br />

(a) Partner Overlap: Andersen-Worldwide is a partnership made up <strong>of</strong> more<br />

than 4,800 partners from 390 <strong>of</strong>fices in 84 different countries worldwide. Simultaneously, the<br />

partners <strong>of</strong> Andersen-Worldwide also are partners (or the equivalent) in the entities that make up<br />

those <strong>of</strong>fices. Thus, all <strong>of</strong> those <strong>of</strong>fices are managed by individuals who are both local partners (or<br />

the equivalent) and partners <strong>of</strong> Andersen-Worldwide. Every member firm and its practice partners<br />

enter into a Member Firm Inter Firm Agreement ("MFIFA") with AWSC.<br />

(b) Sharing <strong>of</strong> Costs and Pr<strong>of</strong>its: Andersen-Worldwide coordinates the sharing<br />

<strong>of</strong> costs and allocation <strong>of</strong> revenues and pr<strong>of</strong>its among its partners and its <strong>of</strong>fices around the world.<br />

As one <strong>of</strong> AWO's top clients, fees from <strong>Enron</strong> were distributed directly and indirectly around the<br />

world. Pr<strong>of</strong>its were shared globally. In fact, fees from U.S. fees have been funding <strong>of</strong>fices in<br />

Europe, Asia and Australia for years. Compensation for AWO partners was based on units granted<br />

to partners. Global earnings are added together and then divided by the number <strong>of</strong> units outstanding,<br />

resulting in earnings per unit ("EPU"). Partners then are paid their share <strong>of</strong> pr<strong>of</strong>its by multiplying<br />

the EPU by the number <strong>of</strong> units they hold.<br />

(c) Global Setting <strong>of</strong> Pr<strong>of</strong>essional Standards: Andersen-Worldwide purports<br />

to establish the pr<strong>of</strong>essional standards and principles under which its <strong>of</strong>fices operate. Andersen-<br />

Worldwide's international <strong>of</strong>fices enter into a standard agreement with Andersen-Worldwide under<br />

which they agree to be bound by those pr<strong>of</strong>essional standards and principles. An <strong>of</strong>fice <strong>of</strong> Andersen-<br />

Worldwide that breaches the agreement is subject to removal from the organization. <strong>The</strong> Assurance<br />
