641.41 Each <strong>of</strong> the Offering Memoranda pleaded in 641.1-641.40 was false and misleading<br />

when issued. <strong>The</strong> factual and financial information in each <strong>of</strong> the Offering Memoranda were false<br />

and misleading for the same reasons that that information was false and misleading as alleged<br />

elsewhere and throughout this Complaint.<br />

641.42 <strong>The</strong> 1999 and 2000 issuances <strong>of</strong> Osprey securities were orchestrated by three former<br />

Citibank – now CSFB – senior investment bankers: Managing Directors Laurence Nath, James<br />

Fields and Andrew Sriubas.<br />

641.43 CitiGroup's Yosemite I, Yosemite LTD, and <strong>Enron</strong> Credit Linked Notes Trusts I and<br />

II, Sterling, and Euro issues were all the work <strong>of</strong> Richard Caplan, Managing Director <strong>of</strong> Citibank's<br />

Credit Derivatives group, assisted by senior CitiGroup executives, including Paul Deards, Managing<br />

Director, Derivatives Marketing; James Forese, Global Managing Director for Derivatives; Sumit<br />

Roy, Global Head <strong>of</strong> Credit Derivatives, James Reilly, Managing Director Energy Sector, and<br />

Frederick Chapey, Managing Director and former head <strong>of</strong> global derivatives. Caplan also utilized<br />

his Credit Derivatives team, consisting <strong>of</strong> Gary Davis, Amanda Angelini, Timothy Leroux, Ilker<br />

Ertas and Steven Incontro, on these transactions.
