CLASS ACTION ALLEGATIONS<br />

986. Plaintiffs bring this action pursuant to Rule 23 <strong>of</strong> Federal Rules <strong>of</strong> Civil Procedure<br />

on behalf <strong>of</strong> all persons who acquired <strong>Enron</strong>'s publicly traded securities (the "Publicly Traded<br />

Securities") during the Class Period (the "Class"), including persons who purchased <strong>Enron</strong> securities<br />

traceable to false and misleading Registration Statements (the "Offering Subclasses") and <strong>Enron</strong><br />

employees who purchased <strong>Enron</strong> stock individually or for their 401(k) retirement plans during the<br />

Class Period. 20 <strong>The</strong> Class includes purchasers <strong>of</strong> all securities identified herein issued by <strong>Enron</strong>-<br />

related entities during the Class Period, the value or repayment <strong>of</strong> which was dependent on the credit,<br />

financial condition or ability to pay <strong>of</strong> <strong>Enron</strong>. Excluded from the Class are the defendants and<br />

members <strong>of</strong> their immediate families, any <strong>of</strong>ficer, director or partner <strong>of</strong> any defendant, any entity in<br />

which a defendant has a controlling interest and the heirs <strong>of</strong> any such excluded party.<br />

987. <strong>The</strong> members <strong>of</strong> the Class are so numerous that joinder <strong>of</strong> all members is<br />

impracticable. While the exact number <strong>of</strong> Class members is unknown at the present time, as <strong>of</strong><br />

12/31/00, there were more than 750 million shares <strong>of</strong> common stock outstanding, more than 25<br />

million shares <strong>of</strong> the Preferred Securities and billions <strong>of</strong> dollars <strong>of</strong> debt securities, owned by<br />

thousands <strong>of</strong> investors.<br />

well as preferred securities issued by <strong>Enron</strong>, <strong>Enron</strong> Capital LLC 8% Cumulative Guaranteed<br />

Monthly Income Preferred Shares, <strong>Enron</strong> Capital Trust I Trust Originated Preferred Securities, <strong>Enron</strong><br />

Capital Trust II Trust Originated Preferred Securities and <strong>Enron</strong> Capital Resources, L.P. 9%<br />

Cumulative Preferred Securities (collectively, the "Preferred Securities"), and Osprey<br />
