75. <strong>The</strong> claims asserted herein arise under and pursuant to §§10(b), 20(a) and 20A <strong>of</strong> the<br />

Securities Exchange Act <strong>of</strong> 1934 ("1934 Act") [15 U.S.C. §§78j(b), 78t(a) and 78t-1] and Rule 10b-5<br />

promulgated thereunder by the SEC [17 C.F.R. §240.10b-5], §§11, 12(a)(2) and 15 <strong>of</strong> the Securities<br />

Act <strong>of</strong> 1933 ("1993 Act") [15 U.S.C. §§77k, 77l(a)(2) and 77o] and Texas Rev. Civ. Stat., art. 581-<br />

33.<br />

76. This Court has jurisdiction over the subject matter <strong>of</strong> this action pursuant to 28 U.S.C.<br />

§§1331 and 1367; §27 <strong>of</strong> the 1934 Act [15 U.S.C. §78aa] and §22 <strong>of</strong> the 1933 Act [15 U.S.C. §77v].<br />

77. Venue is proper in this District pursuant to §27 <strong>of</strong> the 1934 Act and §22 <strong>of</strong> the 1933<br />

Act, and 28 U.S.C. §1391(b). <strong>Enron</strong> maintains its principal place <strong>of</strong> business in this District and<br />

many <strong>of</strong> the acts and practices complained <strong>of</strong> herein occurred in substantial part in this District.<br />

78. In connection with the acts alleged in this complaint, defendants, directly or<br />

indirectly, used the means and instrumentalities <strong>of</strong> interstate commerce, including, but not limited<br />

to, the mails, interstate telephone communications and the facilities <strong>of</strong> the national securities<br />

markets.<br />
