85. <strong>Enron</strong>'s Board <strong>of</strong> Directors used working committees to oversee and control <strong>Enron</strong>'s<br />

business. <strong>The</strong>se committees met frequently and received detailed written and oral reports concerning<br />

those parts <strong>of</strong> <strong>Enron</strong>'s business within their purview. <strong>The</strong>y were:<br />

(a) <strong>The</strong> Audit Committee, which worked with <strong>Enron</strong>'s auditors, as well as <strong>Enron</strong><br />

<strong>of</strong>ficers and employees who were responsible for legal, financial and accounting matters. It<br />

approved the appointment <strong>of</strong> Andersen as <strong>Enron</strong>'s "independent" auditor and the Audit Committee<br />

reviewed and approved the accounting policies and reporting practices, internal auditing and internal<br />

controls, and compliance with <strong>Enron</strong>'s policies regarding business conduct.<br />

(b) <strong>The</strong> Finance Committee monitored, reviewed and approved <strong>Enron</strong>'s financial<br />

activities. <strong>The</strong> Finance Committee reviewed the financial plans and proposals <strong>of</strong> <strong>Enron</strong>'s<br />
