b. If <strong>the</strong> <strong>procurement</strong> is being negotiated as a result <strong>of</strong> a terminated or rescinded<br />

contract being taken over because immediate action is necessary to prevent<br />

damage to, or loss <strong>of</strong>, life or property, or to restore vital public <strong>service</strong>s,<br />

infrastructure facilities and o<strong>the</strong>r public utilities, <strong>the</strong>n <strong>the</strong> contract may be<br />

negotiated starting with <strong>the</strong> second lowest calculated bidder <strong>for</strong> <strong>the</strong> project under<br />

consideration at <strong>the</strong> bidder‟s original bid price (Section 53.3.1 <strong>of</strong> <strong>the</strong> revised<br />

IRR 53.3.1). If negotiation fails, <strong>the</strong>n negotiation shall be done with <strong>the</strong> third<br />

lowest calculated bidder at his original price. If <strong>the</strong> negotiation fails again, a short<br />

list <strong>of</strong> at least three (3) eligible contractors shall be invited to submit <strong>the</strong>ir bids,<br />

and negotiation shall be made starting with <strong>the</strong> lowest bidder (Section 53.3.2 <strong>of</strong><br />

<strong>the</strong> revised IRR 53.3.2). Authority to negotiate contracts <strong>for</strong> projects under <strong>the</strong>se<br />

exceptional cases shall be subject to prior approval by <strong>the</strong> Head <strong>of</strong> <strong>the</strong> Procuring<br />

Entity or o<strong>the</strong>r higher authorities, if required, within <strong>the</strong>ir respective limits <strong>of</strong><br />

approving authority (Section 53.3.3 <strong>of</strong> <strong>the</strong> revised IRR).<br />

c. If <strong>the</strong> <strong>procurement</strong> being negotiated is adjacent or contiguous, <strong>the</strong> procuring<br />

entity will directly negotiate with <strong>the</strong> previous winning contractor/consultant,<br />

provided that all <strong>the</strong> conditions under Section 53.4 <strong>of</strong> <strong>the</strong> revised IRR <strong>of</strong> <strong>the</strong> R.A.<br />

9184; provided fur<strong>the</strong>r, that negotiation <strong>for</strong> <strong>the</strong> <strong>procurement</strong> are commenced<br />

be<strong>for</strong>e expiry <strong>of</strong> <strong>the</strong> original contract.<br />

3.3.1 AGENCY TO AGENCY<br />

In case <strong>of</strong> Agency-to-Agency, <strong>the</strong> procuring entity should follow <strong>the</strong> procedures<br />

provided under <strong>the</strong> Implementing Guidelines on Agency-to-Agency Agreements,<br />

approved and adopted by <strong>the</strong> GPPB through Resolution No. 18–2007, dated 31<br />

May 2007. The general conditions <strong>for</strong> implementing Agency-to-Agency<br />

Agreements are as follows:<br />

a. Agency-to-Agency Agreements may only be resorted to if <strong>the</strong> following<br />

conditions are complied with:<br />

i. Conduct <strong>of</strong> a Cost-benefit Analysis by <strong>the</strong> Procuring Agency<br />

indicating that entering into an Agency-to-Agency Agreement with<br />

<strong>the</strong> Servicing Agency is more efficient and economical <strong>for</strong> <strong>the</strong><br />

government;<br />

ii.<br />

Total amount <strong>of</strong> all goods, <strong>consulting</strong>, and infrastructure projects<br />

undertaken or to be undertaken through Agency-to-Agency<br />

Agreements shall not exceed twenty-five percent (25%) <strong>of</strong> <strong>the</strong><br />

Procuring Entity‟s total <strong>procurement</strong> budget <strong>for</strong> each category<br />

(i.e., goods, infrastructure, or <strong>consulting</strong>) as reflected in its<br />

approved APP;<br />
