All notices hereunder required to be given to OCSB shall be given in writingby certified U.S. Mail, return receipt requested or by hand delivery to:SuperintendentOrange County Public Schools445 West Amelia StreetOrlando, Florida 32801ANDAssociate SuperintendentCurriculum and Program ServicesOrange County Public Schools445 West Amelia StreetOrlando, Florida 32801The venue for any action brought under this Agreement shall be SeminoleCounty, Florida.In the event of litigation, each party shall be responsible for their respectivecosts and attorney's fee.Notwithstanding anything contained therein to the contrary, the relationshipbetween UCPCF and OCSB shall be governed by the charter granted toUCPCF by OCSB pursuant to the provisions of §1002.33(2002), FloridaStatutes. The relationship between UCPCF and SCSB shall, however, begoverned by this Agreement and applicable law and regulations of the Stateof Florida.This Agreement constitutes the entire Agreement between the parties. Itsupercedes any and all prior agreements between the parties relating to thesame subject matter. This Agreement may only be amended in writing,mutually approved by all parties.If any phrase, sentence, subsection, or paragraph of this Agreement shallbe deemed illegal or otherwise unenforceable as a matter of law, same shallnot act to impair of affect the validity of the remainder of this agreement, tothe extent that remaining portions of this Agreement shall be consistent withthe mutual intent and understanding of the parties.30. This Agreement shall be effective at such time as same has been approvedand executed by all parties.6Page 527
