Introduction<br />

<strong>Orange</strong> <strong>Guide</strong> – Chapter 12: Contracting<br />

Contracts are legally enforceable agreements between two or more parties <strong>and</strong> can be written or oral.<br />

If you are in a position that involves negotiating contracts on behalf of <strong>Pfizer</strong> or Greenstone, you must<br />

remember that your actions may bind the companies even in the absence of a written agreement. For<br />

this reason, colleagues must never make an oral promise or sign an agreement before receiving all<br />

necessary approvals.<br />

<strong>Pfizer</strong> <strong>and</strong> Greenstone may enter into discount arrangements with numerous customers, including but<br />

not limited to Health Maintenance Organizations (HMOs), Pharmacy Benefits Managers (PBMs), Long<br />

Term Care Pharmacy Providers, Large Physician Practices, Group Purchasing Organizations (GPOs),<br />

<strong>and</strong> the government to meet competition <strong>and</strong> to make <strong>Pfizer</strong> <strong>and</strong> Greenstone products available on<br />

formularies or source programs, where applicable. Generally, these discounts are made in the form of<br />

rebates, which are typically paid based on the units of product utilized. The process of negotiating<br />

these discounts with customers is referred to as "contracting."<br />

Each colleague who works with organized customers is responsible for adhering to <strong>Pfizer</strong>'s policies<br />

regarding contracting. Non-compliance with these policies puts the Company at risk <strong>and</strong> can<br />

subject <strong>Pfizer</strong> colleagues to disciplinary actions up to <strong>and</strong> including termination.<br />

<strong>Pfizer</strong>, Greenstone, <strong>and</strong> their competitors are prohibited from entering into any agreement that<br />

unreasonably restricts competition. To ensure full compliance with U.S. antitrust laws, you should<br />

never discuss the following topics with or among customers or competitors at any time:<br />

<strong>Pfizer</strong>'s or Greenstone’s pricing policies;<br />

<strong>Pfizer</strong>'s or Greenstone’s current or future prices, discounts, rebates or other terms <strong>and</strong><br />

conditions of sale generally or as they relate to other customers;<br />

<strong>Pfizer</strong>'s or Greenstone’s current or projected profits or profit margins;<br />

<strong>Pfizer</strong>'s or Greenstone’s current or projected costs;<br />
