(C) Strategic Alliances :<br />
As a part <strong>of</strong> developing strategic alliances as well as deriving<br />
technical strengths, NTPC has entered into MOUs with :<br />
Coal India Ltd. (CIL) with an intent to acquire/ identify and<br />
carry out O&M <strong>of</strong> coal blocks and integrated power project(s)<br />
in India. A Joint Business Development Group has been<br />
constituted. JV Agreement between NTPC and CIL is under<br />
finalization.<br />
Singareni Collieries Co. Ltd. (SCCL) to take up coal mining<br />
in India and abroad. “NTPC-SCCL Global Ventures Pvt.<br />
Ltd.”. a JV company has been formed with SCCL on<br />
18.06.2007.<br />
Bharat Earth Movers Ltd. (BEML) to maximize/ optimize<br />
coal production through deployment <strong>of</strong> fleet <strong>of</strong> equipment<br />
required for mining with the object to minimize the cost <strong>of</strong><br />
coal. A Joint Working Group was formed on 11.04.2007.<br />
SAIL, RINL, CIL, NMDC & NTPC for acquiring Coal Blocks<br />
(Coking Coal & Thermal Coal) outside India. CCEA has<br />
already approved the formation <strong>of</strong> a Special Purpose Vehicle<br />
(SPV) for the purpose.<br />
7.4 Joint Ventures<br />
7.4.1NTPC-SAIL <strong>Power</strong> Company Private Limited<br />
NTPC-SAIL <strong>Power</strong> Company Private Limited (NSPCL), a<br />
Joint Venture <strong>of</strong> NTPC and SAIL on 50:50 basis,<br />
incorporated on 16.03.2001. BESCL (Bhilai Electric Supply<br />
Company Pvt. Ltd.), another joint venture company<br />
incorporated in March 2002 was merged with it w.e.f.<br />
02.08.2006. The company owns, operates and maintains<br />
Captive <strong>Power</strong> Plants (CPP-II) <strong>of</strong> 74 MW located at Bhilai<br />
Steel Plant, 120 MW at Durgapur Steel Plant and 120 MW<br />
at Rourkela Steel Plant. Total installed capacity <strong>of</strong> NSPCL<br />
is 314 MW.<br />
These plants are supplying power to the respective steel<br />
plants on captive basis. During the year 2006-07, NSPCL<br />
achieved record generation <strong>of</strong> 2503.43 Million Units as<br />
against the last year’s generation <strong>of</strong> 2454.12 Million units<br />
registering an increase <strong>of</strong> 2.01%. NSPCL is also<br />
implementing (2x250 MW) Bhilai Expansion <strong>Power</strong> Project<br />
primarily for meeting captive power requirement <strong>of</strong> Bhilai<br />
Steel Plant and other units <strong>of</strong> SAIL.<br />
Total Income (excluding coal cost) <strong>of</strong> NSPCL during 2006-<br />
07 was Rs 200.9 Crores. Pr<strong>of</strong>it (after tax) <strong>of</strong> the company<br />
for the year 2006-07 was Rs 39.0 Crores.<br />
7.4.2 NTPC Alstom <strong>Power</strong> Services Limited<br />
NTPC Alstom <strong>Power</strong> Services Limited (NASL) is a 50:50<br />
joint venture between NTPC and Alstom <strong>Power</strong> Generation<br />
AG, which was incorporated on 27.09.1999 for taking up<br />
Renovation & Modernisation (R&M) assignments <strong>of</strong> power<br />
plants in India and abroad. NASL is engaged in undertaking<br />
works <strong>of</strong> Renovation & Modernization <strong>of</strong> <strong>Power</strong> Plants in<br />
India for plant life extension, performance optimization and<br />
improvement <strong>of</strong> availability & efficiency. Turnover <strong>of</strong> the<br />
company for the year 2006-07 was Rs. 46.5 crores and pr<strong>of</strong>it<br />
after tax was Rs. 3.0 crores.<br />
7.4.3 Utility <strong>Power</strong>tech Limited<br />
Utility <strong>Power</strong>tech Limited (UPL) (a 50:50 Joint Venture<br />
Company <strong>of</strong> NTPC and Reliance Energy), incorporated on<br />
23.11.1995 to take up assignments <strong>of</strong> construction, erection<br />
and project management in power and other sectors in India<br />
and abroad is progressing satisfactorily. Pr<strong>of</strong>it after tax <strong>of</strong><br />
the JVC for the year 2006-07 was Rs. 9.3 crores and the<br />
turnover was Rs. 180.9 crores.<br />
7.4.4 PTC India Ltd<br />
Joint Venture company formed on 23.05.2003 for trading <strong>of</strong><br />
power, has 8% equity contribution each from NTPC, <strong>Power</strong><br />
Grid Corporation <strong>of</strong> India Ltd., <strong>Power</strong> Finance Corporation<br />
and NHPC and the balance from Damodar Valley<br />
Corporation, Financial institutions, Banks and general public.<br />
Turnover <strong>of</strong> the company for the year 2006-07 was Rs.<br />
3785.9 crores and pr<strong>of</strong>it after tax was Rs. 35.2 crores.<br />
7.4.5 NTPC Tamil Nadu Energy Company Limited<br />
(NTECL)<br />
NTPC and TNEB have formed a 50:50 Joint Venture<br />
Company under the name <strong>of</strong> NTPC Tamil Nadu Energy<br />
Company Limited (NTECL). The company was incorporated<br />
on 23.05.2003 to set up a coal based power station <strong>of</strong> 1000<br />
MW capacity. NTECL has undertaken to set up a 2x500<br />
MW power project at Ennore, in the State <strong>of</strong> Tamil Nadu<br />
since named as Vallur Thermal <strong>Power</strong> Project. All the key<br />
inputs and necessary clearance have been tied-up/ obtained<br />
for the project and the project is under implementation.<br />
Second phase <strong>of</strong> 1x500 MW has also been planned. Both<br />
the phases are targeted for commissioning in 11th plan.<br />
7.4.6 Ratnagiri Gas and <strong>Power</strong> Private Limited (RGPPL)<br />
Ratnagiri Gas and <strong>Power</strong> Supply Pvt Ltd has been formed<br />
on 08.07.2005 as a joint venture company between NTPC,<br />
GAIL, Maharashtra State Electricity Board and Indian<br />
Financial institutions with NTPC having a stake <strong>of</strong> 28.33%<br />
for taking over and operating Dabhol <strong>Power</strong> Project. NTPC<br />
has invested Rs 500 Cr as 28.33% equity. Generation has<br />
already started from 1480 MW (two <strong>of</strong> the three blocks), out<br />
<strong>of</strong> the total capacity <strong>of</strong> 2140 MW.<br />
7.4.7 Aravali <strong>Power</strong> Company Private Limited (APCPL)<br />
Aravali <strong>Power</strong> Company Private Limited has been formed<br />
on 21.12.2006 as a 50:25:25 joint venture company between<br />
NTPC, HPGCL (Haryana <strong>Power</strong> Generation Corporation<br />
Ltd., a Govt. <strong>of</strong> Haryana undertaking) and IPGCL (Indra<br />
Prastha <strong>Power</strong> Generation Company, Govt. <strong>of</strong> NCT <strong>of</strong> Delhi
