INTERNATIONAL SOCIETY FOR THE STUDY OF HARMFUL ALGAE12 th <str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g> <str<strong>on</strong>g>C<strong>on</strong>ference</str<strong>on</strong>g> <strong>on</strong> <strong>Harmful</strong> <strong>Algae</strong>, Copenhagen, Denmark, 4-8 September 2006Article 15. The governance of the Society shall be by the following bodies:i. the General Assembly;ii. the Council;iii. the Executive Committee.Article 16. The General Assembly:i. shall be comprised of all members of the Society, 10% of members toc<strong>on</strong>stitute a quorum;ii. shall meet at least <strong>on</strong>ce every three years;iii. shall be chaired by the President.Article 17.i. Notice of the General Assembly shall be sent to each member by theSecretary at the earliest possible date (normally at least <strong>on</strong>e year inadvance), and the agenda of the meeting shall be sent out at least <strong>on</strong>e m<strong>on</strong>thbefore the meeting, and posted <strong>on</strong> the ISSHA website.ii. At the General Assembly, members of the Society present shall c<strong>on</strong>sider anybusiness brought before them by the Council, or by any member (of whichnotice in writing has been given to the Secretary at least two weeks beforedistributi<strong>on</strong> of the agenda). The agenda will also include the electi<strong>on</strong> of thePresident of the Society, two Vice-Presidents, the Secretary, the Treasurerand Members of Council and approval of the triennial program and budget.iii. At the General Assembly, all members (with the excepti<strong>on</strong> of the President)shall have <strong>on</strong>e vote each. In the case of equality of votes, the Chair mayexercise a casting vote.Article 18. The Council:i. shall be comprised of the President, Vice-Presidents, the Secretary, theTreasurer, the immediate Past-President (ex-officio) and a minimum of 4 anda maximum of 14 Members, 60% to c<strong>on</strong>stitute a quorum;ii. shall meet at intervals not greater than two years, and yearly if practicable;iii. shall be chaired by the President.Article 19.i. The general business of the Society shall be c<strong>on</strong>ducted by the Council.ii. At the Council meetings, each Council member (with the excepti<strong>on</strong> of theChair) shall have <strong>on</strong>e vote. In the case of equality of votes, the Chair mayexercise a casting vote.iii. All members of the Council, except the immediate Past-President, shall beelected by written ballot of the members, the result of the ballot beingdeclared at the General Assembly. The Council shall have the power toappoint any member of the Society to fill vacancies arising between electi<strong>on</strong>s;the tenure of such co-opted members shall terminate at the next electi<strong>on</strong>. No<strong>on</strong>e may be appointed as a co-opted member if, as a result, more than <strong>on</strong>ethird of the members of Council would be co-opted members.iv. The Council may set up standing or ad hoc committees for specific purposes,c<strong>on</strong>sisting either wholly or in part of Council members, provided that all actsand proceedings of any such committees shall be fully and promptly reportedto the Council.324
