At the request of any three members, the Secretary shall c<strong>on</strong>vene a meetingof the Council, stating the nature of the business to be discussed.vi. Meetings of the Council may be in pers<strong>on</strong> or by electr<strong>on</strong>ic media.Article 20. The Executive Committee:i. shall include the President, the two Vice-Presidents, the Secretary and theTreasurer; 60% to c<strong>on</strong>stitute a quorum.ii. shall be chaired by the President.Article 21.i. The Executive Committee shall be resp<strong>on</strong>sible for decisi<strong>on</strong>s involved inimplementing the Society’s policies, between meetings of the Council.ii. At Executive Committee meetings, each member of the Executive Committeewill have <strong>on</strong>e vote, a majority vote deciding the issue, and ties referred to theCouncil for resoluti<strong>on</strong>.iii. Meetings of the Executive Committee may be in pers<strong>on</strong> or by electr<strong>on</strong>icmedia.Article 22. The Officers of the Society shall be elected for three years and will beeligible for re-electi<strong>on</strong> for <strong>on</strong>e further term, after which they shall be ineligible for thesame office for a period of three years. The Officers of the Society shall comprise:i. The President, who shall chair the General Assembly, the Council and theExecutive Committee. The immediate Past-President will c<strong>on</strong>tinue to serve <strong>on</strong>Council (ex-officio) until succeeded by the next retiring President.ii. The Vice-Presidents: in the absence of the President, <strong>on</strong>e of the Vice-Presidents, chosen by the Executive Committee, will chair the meetings of theGeneral Assembly, the Council and the Executive Committee.iii. The Secretary, who shall be resp<strong>on</strong>sible for maintaining communicati<strong>on</strong>sam<strong>on</strong>g the Executive Committee, the Council and the General Assembly.This task will also include the disseminati<strong>on</strong> of informati<strong>on</strong> to the generalscientific community, other n<strong>on</strong>-governmental agencies and to the public,involving both written material and electr<strong>on</strong>ic communicati<strong>on</strong> (e.g. ISSHA webpages, electr<strong>on</strong>ic mailing list). The Secretary will maintain the list of Societymembers and keep the Society membership records.iv. The Treasurer, who shall be resp<strong>on</strong>sible for the financial matters of theSociety. The Treasurer shall provide an annual, audited account.v. The Members of Council, who may take <strong>on</strong> specific duties as directed by theCouncil.vi. A member will not normally hold more than <strong>on</strong>e office at <strong>on</strong>e time.Article 23. Electi<strong>on</strong>sElecti<strong>on</strong>s and Ballotsi. Any member of the Society may nominate candidates, who shall be membersof the Society, for the electi<strong>on</strong> as President, Vice Presidents, Secretary,Treasurer or Members of Council.ii. All such nominati<strong>on</strong>s, with the name of a sec<strong>on</strong>der and with written c<strong>on</strong>sent ofthe nominee to act if elected, shall be forwarded to the Secretary no later thanfour m<strong>on</strong>ths before the General Assembly.
