The Council shall cause Minutes to be duly entered in the books for thepurpose of recording: all the appointments to the Council; the names of the memberspresent at each business meeting (General Assembly, Council, ExecutiveCommittee) of the Society; and the proceedings of these meetings. An ExecutiveSummary of acti<strong>on</strong>s of committees and officers of the Society, between GeneralAssembly sessi<strong>on</strong>s, shall be prepared by the Executive Committee. This summaryshall be approved by majority vote at the General Assembly and be posted <strong>on</strong> theISSHA website.Alterati<strong>on</strong>s to the StatutesArticle 32. Proposed amendments to the Statues may be initiated by the Council orby a majority of the members of the Society, and shall be approved by the GeneralAssembly, provided that two thirds of all the ballots received (by regular mail, fax ore-mail, and cast at the General Assembly) support the amendment. Any proposedamendments will be circulated to members with the agenda for that meeting.Between General Assembly sessi<strong>on</strong>s, amendments to the Statutes may be approvedby written ballot, providing that two thirds of the ballots mailed in support theamendment.Dissoluti<strong>on</strong> of the SocietyArticle 33. The Society may be dissolved, after <strong>on</strong>e year’s notice in writing to allmembers, by a two-thirds majority of the vote of the General Assembly or by amajority vote by written ballot of members.i. Such a proposal for dissoluti<strong>on</strong> shall be initiated by the Council.ii. On the dissoluti<strong>on</strong> of the Society, its assets shall be assigned to the<str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g> Uni<strong>on</strong> for Biological Sciences (IUBS) through the <str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g>Associati<strong>on</strong> of Biological Oceanography (IABO).327
