INTERNATIONAL SOCIETY FOR THE STUDY OF HARMFUL ALGAE12 th <str<strong>on</strong>g>Internati<strong>on</strong>al</str<strong>on</strong>g> <str<strong>on</strong>g>C<strong>on</strong>ference</str<strong>on</strong>g> <strong>on</strong> <strong>Harmful</strong> <strong>Algae</strong>, Copenhagen, Denmark, 4-8 September 2006iii.iv.office falling vacant, it shall be the duty of Council to make suchappointments.Voting shall be by written ballot. For this purpose, the Secretary shall circulateballot forms to all members of the Society three m<strong>on</strong>ths before the GeneralAssembly. At that meeting, the ballot forms shall be opened and the countmade by scrutineers appointed by Council, and the results of the ballot shallbe declared.Where nominees receive the same number of votes, the matter will beresolved by a further vote of the members present at the General Assembly.Article 24. Ballotsi. When a written vote is necessary, Individual, H<strong>on</strong>orary and Instituti<strong>on</strong>alMembers shall each have <strong>on</strong>e vote.ii. Matters of basic organizati<strong>on</strong> of the Society, including the electi<strong>on</strong> of theCouncil and of the Executive Committee, shall be determined by written ballotof all members.FinancesArticle 25. The revenue of the Society shall be derived from annual subscripti<strong>on</strong>spaid by Members, the sale of published materials underwritten by the Society andfinancial d<strong>on</strong>ati<strong>on</strong>s and any other forms of assistance received to further itsobjectives.Article 26. Membership c<strong>on</strong>tributi<strong>on</strong>s shall be determined by the Council and ratifiedby the General Assembly of the Society or by written ballot.Article 27. The Society shall be registered in Copenhagen, Denmark.Article 28. Annual Accountsi. It shall be the duty of the Treasurer to prepare annual accounts as prescribedby current legislati<strong>on</strong>.ii. The annual accounts will be examined by an Independent Examiner,appointed by Council, who shall be an independent pers<strong>on</strong> who is believed byCouncil to have the requisite ability and practical experience to carry outcompetent examinati<strong>on</strong> of the records.iii. Copies of the annual accounts and the independent examiner’s report shallbe sent to members and presented to Council annually.Article 29. Expensesi. Members of the Executive Committee and of the Council shall receive nopayment for services.ii. Members required by the Executive Committee to attend official meetings ofthe Society, or of other organizati<strong>on</strong>s <strong>on</strong> behalf of the Society, may receivereimbursement for b<strong>on</strong>a fide travelling expenses and a daily subsistenceallowance.Article 30. On an ad hoc basis, <strong>on</strong> behalf of the Society, the Executive Committeemay appoint staff members as necessary to carry out the mandates and functi<strong>on</strong>s ofthe Society.326
