INTERNATIONAL SOCIETY FOR THE STUDY OF HARMFUL ALGAE12 th <strong>International</strong> <strong>Conference</strong> on Harmful Algae, Copenhagen, Denmark, 4-8 September 2006v. At the request of any three members, the Secretary shall convene a meetingof the Council, stating the nature of the business to be discussed.vi. Meetings of the Council may be in person or by electronic media.Article 20. The Executive Committee:i. shall include the President, the two Vice-Presidents, the Secretary and theTreasurer; 60% to constitute a quorum.ii. shall be chaired by the President.Article 21.i. The Executive Committee shall be responsible for decisions involved inimplementing the Society’s policies, between meetings of the Council.ii. At Executive Committee meetings, each member of the Executive Committeewill have one vote, a majority vote deciding the issue, and ties referred to theCouncil for resolution.iii. Meetings of the Executive Committee may be in person or by electronicmedia.Article 22. The Officers of the Society shall be elected for three years and will beeligible for re-election for one further term, after which they shall be ineligible for thesame office for a period of three years. The Officers of the Society shall comprise:i. The President, who shall chair the General Assembly, the Council and theExecutive Committee. The immediate Past-President will continue to serve onCouncil (ex-officio) until succeeded by the next retiring President.ii. The Vice-Presidents: in the absence of the President, one of the Vice-Presidents, chosen by the Executive Committee, will chair the meetings of theGeneral Assembly, the Council and the Executive Committee.iii. The Secretary, who shall be responsible for maintaining communicationsamong the Executive Committee, the Council and the General Assembly.This task will also include the dissemination of information to the generalscientific community, other non-governmental agencies and to the public,involving both written material and electronic communication (e.g. ISSHA webpages, electronic mailing list). The Secretary will maintain the list of Societymembers and keep the Society membership records.iv. The Treasurer, who shall be responsible for the financial matters of theSociety. The Treasurer shall provide an annual, audited account.v. The Members of Council, who may take on specific duties as directed by theCouncil.vi. A member will not normally hold more than one office at one time.Article 23. ElectionsElections and Ballotsi. Any member of the Society may nominate candidates, who shall be membersof the Society, for the election as President, Vice Presidents, Secretary,Treasurer or Members of Council.ii. All such nominations, with the name of a seconder and with written consent ofthe nominee to act if elected, shall be forwarded to the Secretary no later thanfour months before the General Assembly. If no nomination is received for an325

For this purpose, the Secretary shall circulateballot forms to all members of the Society three months before the GeneralAssembly. At that meeting, the ballot forms shall be opened and the countmade by scrutineers appointed by Council, and the results of the ballot shallbe declared.Where nominees receive the same number of votes, the matter will beresolved by a further vote of the members present at the General Assembly.Article 24. Ballotsi. When a written vote is necessary, Individual, Honorary and InstitutionalMembers shall each have one vote.ii. Matters of basic organization of the Society, including the election of theCouncil and of the Executive Committee, shall be determined by written ballotof all members.FinancesArticle 25. The revenue of the Society shall be derived from annual subscriptionspaid by Members, the sale of published materials underwritten by the Society andfinancial donations and any other forms of assistance received to further itsobjectives.Article 26. Membership contributions shall be determined by the Council and ratifiedby the General Assembly of the Society or by written ballot.Article 27. The Society shall be registered in Copenhagen, Denmark.Article 28. Annual Accountsi. It shall be the duty of the Treasurer to prepare annual accounts as prescribedby current legislation.ii. The annual accounts will be examined by an Independent Examiner,appointed by Council, who shall be an independent person who is believed byCouncil to have the requisite ability and practical experience to carry outcompetent examination of the records.iii. Copies of the annual accounts and the independent examiner’s report shallbe sent to members and presented to Council annually.Article 29. Expensesi. Members of the Executive Committee and of the Council shall receive nopayment for services.ii. Members required by the Executive Committee to attend official meetings ofthe Society, or of other organizations on behalf of the Society, may receivereimbursement for bona fide travelling expenses and a daily subsistenceallowance.Article 30. On an ad hoc basis, on behalf of the Society, the Executive Committeemay appoint staff members as necessary to carry out the mandates and functions ofthe Society.326
