1. Organizzazione<br />
<strong>GENERALI</strong> <strong>INVESTMENTS</strong> <strong>SICAV</strong> (la “<strong>SICAV</strong>”) è una società d’investimento che si qualifica come “Société d’Investissement à<br />
Capital Variable”, costituita il 14 marzo 2002 per un periodo illimitato, in conformita alla legge del 10 agosto 1915 sulle società<br />
commerciali, modifiche deliberate, e ai sensi della Parte I della legge lussemburghese del 17 dicembre 2010 di disciplina degli<br />
organismi di investimento collettivo.<br />
La <strong>SICAV</strong> è registrata nel registro delle imprese del Lussemburgo al numero B86432 e ha sede in 5, Allée Scheffer, L - 2520<br />
Lussemburgo.<br />
La <strong>SICAV</strong> ha una struttura multicomparto e al 31 dicembre 2011 contava trentaquattro comparti attivati. Nel corso dell’anno sono<br />
stati lanciati tredici nuovi comparti, allo scopo di ampliare la gamma di prodotti. Il Valore patrimoniale netto della <strong>SICAV</strong> è<br />
diminuito di 218 milioni di EUR, passando da 3.789 milioni di EUR alla fine del 2010 a 3.571 milioni di EUR alla fine del 2011.<br />
La Società di gestione della <strong>SICAV</strong>, Generali Fund Management S.A. è stata designata società di gestione dei fondi comuni<br />
seguenti: <strong>GENERALI</strong> KOMFORT, <strong>GENERALI</strong> FONDSSTRATEGIE AKTIEN GLOBAL, <strong>GENERALI</strong> BELGIUM FCP - FIS, GP & G<br />
FUND, VOBA FUND, VDL US$ CORPORATE BOND FUND, <strong>GENERALI</strong> VERMÖGENSSTRATEGIE e delle seguenti “Société<br />
d’Investissement à Capital Variable”: <strong>GENERALI</strong> MULTINATIONAL PENSION SOLUTIONS <strong>SICAV</strong>, BG <strong>SICAV</strong> e BG SELECTION<br />
<strong>SICAV</strong>.<br />
Modifica del nome dei comparti<br />
Con decorrenza dal 6 giugno 2011, il Consiglio d’Amministrazione della <strong>SICAV</strong> ha deciso di modificare il nome di <strong>GENERALI</strong><br />
<strong>INVESTMENTS</strong> <strong>SICAV</strong> - Euro Equities Opportunity in <strong>GENERALI</strong> <strong>INVESTMENTS</strong> <strong>SICAV</strong> - European Equities Opportunity.<br />
Con decorrenza dal 6 giugno 2011, il Consiglio d’Amministrazione della <strong>SICAV</strong> ha deciso di modificare il nome di <strong>GENERALI</strong><br />
<strong>INVESTMENTS</strong> <strong>SICAV</strong> - Capital Markets Strategies in <strong>GENERALI</strong> <strong>INVESTMENTS</strong> <strong>SICAV</strong> - Global Equity Allocation.<br />
Con decorrenza dal 6 giugno 2011, il Consiglio d’Amministrazione della <strong>SICAV</strong> ha deciso di modificare il nome di <strong>GENERALI</strong><br />
<strong>INVESTMENTS</strong> <strong>SICAV</strong> - Futur in <strong>GENERALI</strong> <strong>INVESTMENTS</strong> <strong>SICAV</strong> - S.A.R.A. S.R.I..<br />
Fusione/ Conferimenti in natura<br />
Conformemente alla delibera del Consiglio d’Amministrazione della BSI Multinvest, il comparto BSI Multinvest - Greater China<br />
Stocks Opportunities è stato assorbito dal comparto <strong>GENERALI</strong> <strong>INVESTMENTS</strong> <strong>SICAV</strong> - Greater China Equities mediante<br />
conferimento (al 31 gennaio 2011).<br />
Conformemente alla delibera del Consiglio d’Amministrazione della <strong>SICAV</strong>, in data 3 giugno 2011 il comparto <strong>GENERALI</strong><br />
<strong>INVESTMENTS</strong> <strong>SICAV</strong> - Italian Equities è stato assorbito dal comparto <strong>GENERALI</strong> <strong>INVESTMENTS</strong> <strong>SICAV</strong> - European Equities<br />
Opportunity mediante conferimento.<br />
I rapporti di cambio erano i seguenti:<br />
