able to collaborate with foreign businesses and this would greatly benefit the initiation of new industries in the country. The Minister pointed out that other countries in the modern times have reached the stage of growth and development in business and commerce through international collaboration. Likewise to develop the business and commercial sector in the country, collaborative action has to be initiated with businesses in countries with whom Bhutan shares diplomatic relations. These collaborations would not only bring new technology into the country but would also bring financial investments. It would also facilitate export of products from Bhutan. The Minister said that therefore, the Ministry of Trade and Industry has prepared three Acts which are: one, the Industrial Property Act; two, the Copyright Act; and third, the Commercial Sale of Goods Act. These Acts have been prepared with the assistance and participation of experienced expatriate experts as well as officials from different line ministries and the Judiciary. The draft Act was submitted to the Cabinet and then to the National Assembly. The Minister expressed hope that the National Assembly would also endorse the Act after reviewing and making changes that is deemed necessary. Although a copy of the draft Act was distributed to the Assembly members in the last session a few corrections have been made since then and which needs to be incorporated into the draft circulated in the last session. The Minister pointed out that the Industrial Property Act had three parts: patents and inventions; industrial designs; and marks, collective marks and trademarks. The Minister informed the Assembly that a system to provide security to industrial property in Bhutan was initiated in 1997 and the Minister submitted that with the endorsement of the Act by the Assembly the system would have legal status. The main objective of the Act is to provide security to the industrial property owner, producer and inventor and ensure that others do not copy the invention without the owner and the inventor’s permission. 204
The Minister pointed out that Part II of the Act deals with patents and the rights thereof and Part III deals with industrial designs, the process of its registration as well as invalidation. Part IV deals comprehensively with trademarks, collective marks and trade names. It also provides for the prevention of unfair competition. Similarly the rights conferred by the registration are also included. Part V includes the provisions for changes in ownership, representation by agents and licensing. The main point is that if the Industrial Act is comprehensive and good, it would facilitate and make collaboration with expert foreign businesses possible and this would greatly aid the process of economic development in the country. Otherwise even if foreign investors come to Bhutan it would not be of any benefit to the Bhutanese industrial sector. Following this introduction by the Trade and Industry Minister, the frank and free deliberation of the Act, page by page was started. The Speaker reminded the Assembly that the copy distributed is a draft and not the final version of the Act and further editing in terms of correcting grammatical and typographical errors would be done by the concerned departments. The Speaker called on the members to focus the discussion on the content and in the best interest of the nation and the people. The Paro Chimi expressed appreciation to the Trade and Industry Minister for the clear presentation and the justification and objectives of the Industrial Property Act. The Chimi added that he did not have any comments on the Act itself but suggested in general that the Acts to be endorsed by the Assembly should be first reviewed by the legal committee that is to be formed and then presented to the Assembly. Once the committee has reviewed the Acts, those Assembly members who do not have knowledge in the related fields and no experience with legal documents would also be able to endorse the Act with confidence. 205
