„Soft Costs“ means the Organization Compensation<br />
paid pursuant to Section 5.3(e) below.<br />
„Supermajority Interest“ means those Limited Partners<br />
holding not less than 75% (seventy-five percent)<br />
of all outstanding LP Units.<br />
„Termination of a General Partner“ means the dissolution,<br />
bankruptcy, withdrawal, retirement or removal<br />
of a General Partner or any other event that causes a<br />
General Partner to cease to be a General Partner as<br />
provided under the Act.<br />
„Threshold Event“ shall have the meaning set forth in<br />
Section 2.1(d) below.<br />
„Units“ collectively means the LP Units and GP Units.<br />
„Unpaid Preferred Return“ means, as of any specified<br />
date and with respect to each Partner, the excess of<br />
(i) a Partner‘s Preferred Return which has been accrued<br />
through such date, over (ii) the cumulative distributions<br />
to such Partner pursuant to Sections 3.1(a)<br />
and 3.2(a) hereof.<br />
„Unrecovered Property Cost“ means, as of any specified<br />
date and with respect to any Property, the following<br />
difference:<br />
(i) the Property Cost invested by the Partnership in<br />
such Property,<br />
less<br />
(ii) the sum of:<br />
(A) the cumulative distributions to the Partners pursuant<br />
to Sections 3.2(b) and 3.2 (c) with respect to such<br />
Property, plus<br />
(B) the cumulative distributions to the Partners pursuant<br />
to Section 3.1(b) hereof allocated to such Property.<br />
Distributions to the Partners pursuant to Section<br />
3.1(b) shall be allocated among the Properties pro<br />
rata in accordance with the relative Property Cost of<br />
each of the Properties.<br />
For purposes of clause (ii)( A) hereof, if there has<br />
been more than one Property with respect to which a<br />
Capital Event previously occurred, then distributions<br />
„Soft Costs“ bedeutet die Organisationsgebühr gemäß<br />
Ziffer 5.3 (e) dieser Vereinbarung.<br />
„Qualifizierte Mehrheit“ bedeutet Kommanditisten,<br />
die mindestens 75 % (fünfundsiebzig Prozent) aller<br />
ausgegebenen Anteile halten.<br />
„Ausscheiden eines Komplementärs“ bedeutet die<br />
Auflösung, der Konkurs, die Kündigung, der Austritt<br />
oder die Abberufung eines Komplementärs oder jedes<br />
andere Ereignis, das zur Folge hat, dass eine<br />
Komplementärin nicht mehr Komplementärin im Sinne<br />
des Gesetzes ist.<br />
„Auslösendes Ereignis“ hat die unter nachstehendem<br />
§ 2.1 (d) beschriebene Bedeutung.<br />
„Anteile“ bedeutet die Kommanditanteile und die<br />
Komplementäranteile.<br />
„Nicht ausbezahlte Vorzugsrendite“ bedeutet bezogen<br />
auf einen bestimmten Stichtag und auf die jeweiligen<br />
Gesellschafter der Betrag der (i) bis zu diesem<br />
Datum aufgelaufenen Vorzugsrendite eines Gesellschafters,<br />
der über (ii) die aufgelaufenen Ausschüttungen<br />
an den Gesellschafter gemäß Ziffer 3.1 (a)<br />
und 3.2(a) hinausgeht.<br />
„Nicht zurückerstattete Immobilienkosten“ bedeutet<br />
bezogen auf einen bestimmten Stichtag und auf eine<br />
Immobilie die folgende Differenz:<br />
(i) die von der Gesellschaft in die Immobilie investierten<br />
Immobilienkosten<br />
abzüglich<br />
(ii) folgender Beträge:<br />
(A) die kumulativen Ausschüttungen an die Gesellschafter<br />
für die Immobilie gem. Abs. 3.2 (b) und<br />
3.2(c); plus<br />
(B) die kumulativen auf die Immobilie erfolgten Ausschüttungen<br />
an die Gesellschafter gem. Absatz<br />
3.1.(b) dieser Vereinbarung. Ausschüttungen an die<br />
Gesellschafter gemäß Absatz 3.1. (b) sind anteilig<br />
entsprechend der jeweiligen Immobilienkosten auf<br />
die entsprechenden Immobilien umzulegen.<br />
Ist ein vorheriges Kapitalereignis im Sinne von Absatz<br />
(ii) (A) bezüglich mehr als einer Immobilie eingetreten,<br />
gelten die Ausschüttungen<br />
