AMRICANS WITH DISABILITIES ACT OF 1990Equal Opportunity for IndiViduals with DisabiltyThe contractor and the State ofNew Jersey , (hereafter"owner") do hereby agree that the provisions of Title 11 of the Americans With Disabilities Actof 1990 (the "Act") (42 U.S.G. S121 01 et seq.), which prohibits discrimation on the basis ofdisabilty by public entities in all services, program, and activities provided or made available bypublic entities, and the rules and reguations promulgated pursuat there unto, are made a par ofthis contract.In providing any aid, benefit, or servce on behalf of theowner pursuant to this contract, thecontractor agrees that the performance shall be in strict compliance with the Act.In the event that the contractor, its agents, servants, employees, or subcontractors violate or arealleged to have violated the Actduring the pedormance ofthis contract, the contractor shalldefend the owner in any action or . admnistrative proceeding commenced pursuant to this Act.The contractor shall indemnfy, protect, and save harmess the owner, its agents, servants, andemployees from and against any and all suits, claims, losses, demands, or damages, ofwhateverkind or nature arising out of or claimed to arise out of the alleged violation.The contractor shall, at its own expense, appear, defend, and pay anyand all charges for legalservices and any and al costs and .other expenses arsing from such action or admstrativeproceeding or incued in connection therewith. In anyand all complaits brought puruat tothe owner's grevance procedure, the contractor agrees to abide by any decision of the ownerwhich is rendered purnt to said grevance procedure. If any action or adminstrativeproceedig results in an award of damges against the owner, or ifthe owner incurs anyexpenseto cure a violation of the ADA which has been brought pursuant to its grievance procedure, thecontractor shall satisfy and discharge the same at its own expense.The owner shall; as soon as ptacticàble after a claim has been made against it, give written noticethereof to the contractor along with ful and complete parcular of the clai If any action oradmstrative proceedig is brollght agat the owner or any of its agents, servants, andrepresentatives. 'employees, the ownershall expeditiously forward or have forwarded to the contrctor everydemand, complaint, notice, sumons, pleadig, or other process received by the owner or itsIt is expressly agreed and understood that any approval by the owner of the servces provided bythe contractor pursut to ths contrct will not relieve the contractor of the obligation to complywith the Act and to defend, indemn, protect: and save haress the owner pursuant to thisparagraph.It is fuher agreed and understood that the owner assumes no obligation to indemn or saveharless the contr;ictor, its agents, servts, employees and subcontractors for any claim which. may arie out oftheir performceofthis Agreement.
