The signature of theMayor or the Business Administrator or the Chief Financial Offcer on the Purchase Contractshall be conclusively presumed to evidence any necessary approvals.SECTION 7. The Business Administrator and/or the ChiefFinancial Offcer are herebydelegated the authority to appoint any bank trst company or national banking associationhaving the power to accept and administer trsts to serve as Paying Agent and Bond Registrar forthe Bonds. The Paying Agent and Bond Registrar shall signify its acceptance of the dutiesimposed upon it by this Resolution by a written certificate delivered to the City prior to thedelivery ofthe Bonds.SECTION 8. The Bonds shal.l have printed thereon a copy onhe written opinion withrespect to the Bonds that is to be rendered by the law firm of GluckWalrath LLP, completeexcept for omission of its date. The City Clerk is hereby authorized and directed to certify thetrth and the correctness of the copy of such opinion by, executing on each of the Bonds byfacsimile signatue a certificate in form satisfactory to that law firm and to fie a signed duplicateofsuch wrtten opinion in the Clerk's offce.SECTION 9. The law firm of GluckWalrath LLP is authorized to arrange for theprinting of the Bonds. The proper offcials of the City are hereby authorized and directed toexecute the Bonds and to deliver them to the purchaser upon receipt of payment therefor,including accrued interest from their date to the date of delivery, if any. The City's auditors arèauthoried to prepare the financial information and other information required by the Authorityand the Ban in connection with the issuance of the Bonds and the Mayor, the BusinessAdministrator, the Chief Financial Offcer and the City Clerkare hereby authorized to executeany certficates which are necessary in connection with such financial and other information orthe delivery of the Bonds at Closing.SECTION 10. Ths resolution shall tae effect imediately.
