, APPENDIX AA1\lERICANS WITH DISABILITIES ACT OF 1990Equal Opportunity for Individuals with DisabiltyThe contractor and the <strong>City</strong> of <strong>Jersey</strong> <strong>City</strong>, (hereafter "owner") do hereby agree that the provisions of Títle II of theAmericans With Disabilities Act of 1990 (the "Act") (42 U.s c. § 12101 et seq.), which prohibits discriminationon the, basis of disability by public entities in all services, programs, and activities provided Or made available by publicentitles, and the rules and regulations promulgated pursuant there unto, are made a partofthìs Agreement Inprovidirthe goods and services to the owner pursuant to this Agreement, the contractor agrees that it shall be in strict :compliance with the Act. To the extent there is a claim brought alleging a violation ofthe Act arising out of the goòdsand services provided by the contractor under the Agreement, the contractor shall indemnify,protect, and saveharmless the owner, its agents, servants, and employees from and against any such claim.. If any such action oradministrative proceeding results in an award of damages against the ownér, the contractor shall satisfy and dischargethe same at its own expense.The owner shall, as soon as practicable after a claim has been made aga.inst it, give wrtten notice thereof to thecontractor along withfull and complete particulars of the claim. ,If any action or administrative proceeding is broughtagainst the owner.or any of itsngents, servants, and employees, the ownersliall expeditiouslyforward or haveforwarded to the contractor every demand, complaint, notice, summons, pleading, or otherprocess received by theowner or its representatives and shall fully cooperate with thecoritractorand itsrepresentatives in. defending any su.chclaim.
