the defense, settlement or satisfaction of any such claims, including attorney's fees and costsof suit. If so directed, the Licensee shall, at no cost or expense to the <strong>City</strong>, defend againstsuch claims, in which event the Licensee shall not, without obtaining express permission inadvance from the Corporation Counsel ofthe <strong>City</strong>, raise any defense involving in any waythe immunity of the <strong>City</strong>, or the provisions of any statutes respecting suits against the <strong>City</strong>.The Licensee's liability under this License Agreement shall continue after the terminationof it with respect to any liability, loss, expense or damage resulting from acts occurring priorto termination.6. Nothing herein contained shall be understood or construed to create or grant any thirdpary benefits, rights or propert interest unless the person claiming such rights is identifiedherein and the rights claimed are expressly set forth herein.7. The permission to use the premises is not intended to grant permission to useunoccupied propert not under the jurisdiction ofthe <strong>City</strong>, nor is it intended to relieve theLicensee from its responsibility to procure and maintain in effect all other requisitepermissions and approvals.8. The entire agreement between the <strong>City</strong> and Licensee is contained herein and nomodifications hereof shall be effective unless in writing, signed by the par to be chargedherewith.9. <strong>City</strong> officials, officers, directors, employees or agents shall not be charged personallywith any liability under any term or provision of this agreement or because of its executionor attempted execution or because orany breach or alleged breach thereof.10. The Licensee's use of the premises shall keep 'all improved and open public streetsfree and clear of obstructions and shall not interfere with their use.1 1. The <strong>City</strong> shall not be responsible for any loss or theft sustained by the Licenseeduring its use of the premises.12. The Licensee or its contractors shall provide insurance coverage to the <strong>City</strong>indemnifying the <strong>City</strong> from any liability in connection with the Licensee's use of the'premises. Licensee wil supply the <strong>City</strong> with a copy ofits insurance liability policy. Theamount of the insurance shall be determined by the <strong>City</strong>'s Risk Manager. The <strong>City</strong> shall benamed as an insured par. All accidents or injuries to person, or any damages to propert,occuring as a result of or in connection with the Licensee's use of the propert shall bereported immediately to the <strong>City</strong> of <strong>Jersey</strong> <strong>City</strong>, Division ofRisk Management and the Officeof Real Estate as authorized representatives of the Licensor together with all information'required by the Licensor on prescribed forms to be provided by the Licensor.13. The Licensee's use ofthe premises shall bein accordance with all applicable federal,state, county, and <strong>City</strong> laws and regulations including but not limited to health ordinances2
