(d) At the time ofthe Governental Unit's acceptance ofthis Bond PurchaseAgreement, any financial or other information supplied by the Goveriental Unit to theAuthority and the Ban is accurate and contains no untrue statement of a material fact or omits tostate a material fact which is required or which is necessary to be stated therein in order to makethe statements which are made therein, in the light of the circumstances under which they weremade, not misleading;(e) At the time of the Governental Unit's acceptance of this Bond PurchaseAgreement and at all times subsequent thereto up to and including the date of the Closing, thefinancial and other information supplied by the Governental Unit to the Authority and the Bandoes not and will not contain any untrue statement of a material fact or omit to state a materialfact which is required or which is necessar to be stated therein in order to make the statementswhich are made therein, in the light of the circumstances under which they were made, notmisleading;(f) The Governental Unit has duly authorized all necessary action to betaken by it for (i) the issuance and sale of the Bonds upon the terms set forth herein; (ii) theadoption, execution, delivery and due performance of the Local Proceedings; and (iii) theexecution, delivery and the performance by the Governental Unit of this Bond PurchaseAgreement, the Bonds, an Arbitrage Certificate, and any and all other agreements andinstruents that may be required to be executed, delivered and received by the GovernentalUnit in order to car out, give effect to and consumate the transactions which arecontemplated by each of such documents, the Local Proceedings and the General BondResolution;(g) Between the date of this Bond Purchase Agreement and the Closing, theGovernental Unit will not, without advising the Authority and the Ban, issue any bonds, notes'or other obligations, other than the Bonds which are sold hereby;.(h)' To the knowledge of the Governental Unit there is no action, suit,proceedings, inquiry or investigation at law or in equity or before or by any cour, public boardor body pending or, to the knowledge of the Governental Unit, threatened affecting theGovernental Unit wherein an unavorable decision, ruling or finding would adversely affect (i)the corporate existence or organization of the Governental Unit or the title to office ofanyòffcer of the Governental Unit or any power of the Governental Unit, (ii) the validity of theLocal Proceedings or this Bond Purchase Agreement, (iii) the validityor enforceability of theBonds, the Local Proceedings, this Bond Purchase Agreement, or any agreement úr instruent towhich the Governental Unit is a pary and which is used or contemplated for use inconsumation of the transactions which are contemplated by this Bond Purchase Agreement, or(iv) the tax-exempt status ofthe Bonds or the Governental Unit;(i) The execution, delivery and pedormance by the Governental Unit of theevents and documents provided for in the Local Proceedings, this Bond Purchase Agreement andthe Bonds and compliance with the provisions hereof and thereof wil not violate any provisionof any law of the State or any applicable judgment, orderor regulation of any cour or any public37902~03 356495:1
