This Agreement shall in all respects be interpreted andconstrued and the rights of the parties thereto shall be governedby the laws of the State of New <strong>Jersey</strong>.ARTICLE XVP.L. 2004, c.57 CN.J.S.A. 52:32-44)MAATORY BUSINESS REGISTRATION REQUIREMENTSNon Construction ContractsP.L. 2004, c.' 57 (Chapter 57) amends and supplements thebusiness registration provisions of N.J.S.A. 52:32-44 which imposecertain requirements upon a business competing for, or enteringinto a contractwith a local contracting agency whose contractingactivities are subject to the requirements of the Local PublicContracts Law (N. J. S .A. 40A: 11-2) .The contractor shall provide written notice to its subcontractorsof the responsibility to submit proof of business registrationto the contractor.Before final payment on the contract is made by thecontractingagency, the contractor shall submit an accurate list and theproof of business registration of each subcontractor or supplierused in the fulfillment of the contract, or shall attest that nosubcontractors were used.11
