City Clerk File No.Agenda No.Res. 09-7681O.Z.40Approved: SEP 0 9 2009TITLE:RESOLUTION AUTHORIZING THE CITY TO ENTER AN AGREEMENT OF INDEMNIFICATION WITHNEWPORT Centre LLC AND AUTHORIZING THE RISK MANAGER TO ISSUE A LETTER OFINSURANCECOUNCIL OFFERED AND MOVED ADOPTION OF THE FOLLOWING RESOLUTION:WHREAS, the Jersey City Arists Studio Tour is anrequiring community space.annual two-day cityide celebration of Art and Performance,WHREAS, the City of Jersey City is co-sponsoring an exhibition at Newport Mall for the Tour, utilizing a small emptyretail space at the Mall.October 5. .WHREAS, the Artists wil begin setup on September 28 and breakdown on October 5 and the public will be allowed inthe space on the days of the tour, October 3 & 4, the City of Jersey City wil use the space from September 28 throughWHREAS, Newport Centre LL requires, indemnification and letter of insurance from the City; andWHREAS, the agreement wil speCify theCity's responsibilties to the owners ofthe facilities, including anindemnification and hold harless clause in which the owner canot be held liable for injuries received by pariCipants inthis program or for damage to the faCility, soTHREFORE BE IT RESOLVED by the MuniCipal Council ofthe City of Jersey City that,1. The Mayor or Business Administrtor is authorized to execute an agreement hereto indemnifying NewportCentre LLC for the use of their facilty by the Division of Cultural Afairs for the display of Arork for TheJersey City Arists Studio Tour.2. The risk Manager is authoried to issue a Lettr ofInsurance to Newport Centre LLC to cover this activity.3.
