provisions shall govern registration, notices and payment, among<br />

other things, and which provisions are incorporated herein with<br />

the same effect as if fully set forth herein. The <strong>County</strong><br />

Treasurer and the Commissioner each is hereby authorized and<br />

directed to enter into the Letter of Representations with DTC in<br />

such form as determined by the Treasurer or the Commissioner, as<br />

the case may be, in consultation with bond counsel, to be<br />

necessary and appropriate. The Transfer Agent is hereby<br />

authorized and directed to also enter into the Letter for<br />

Representations with DTC as agent for the <strong>County</strong>. In the event<br />

the <strong>County</strong> determines that the continuation of the system of book<br />

entry only transfer through DTC (or a successor securities<br />

depository) is not in the best interests of the DTC participants,<br />

beneficial owners of the bonds, or the <strong>County</strong>, the <strong>County</strong> will<br />

notify the Transfer Agent, whereupon Transfer Agent will notify<br />

DTC of the availability through DTC of the bond certificates. In<br />

such event, the <strong>County</strong> shall issue and the Transfer Agent shall<br />

transfer and exchange bonds as requested by the DTC of like<br />

principal amount, series and maturity, in authorized denominations<br />

to the identifiable beneficial owners in replacement of the<br />

beneficial interest of such beneficial owners in the bonds, as<br />

provided herein.<br />

Section 8. The Chairman of the Board of Commissioners and the<br />

<strong>County</strong> Clerk are hereby authorized and directed to execute said<br />

bonds by means of their facsimile signatures when issued and sold<br />

for and on behalf of the <strong>County</strong> and to cause to be imprinted<br />

thereon a facsimile of the seal of the <strong>County</strong>. No bond of this<br />

series shall be valid until authenticated by an authorized officer<br />

of the Transfer Agent. The Transfer Agent shall be selected by<br />

the Commissioner. The bonds shall be delivered to the Transfer<br />

Agent for authentication and shall then be delivered to the<br />

purchaser in accordance with instructions from the Treasurer of<br />

the <strong>County</strong> upon payment of the purchase price for the bonds in<br />

accordance with the bid therefor when accepted. Executed blank<br />

bonds for registration and issuance to transferees shall<br />

simultaneously, and from time to time thereafter as necessary, be<br />

delivered to the Transfer Agent for safekeeping.<br />

Any bond may be transferred upon the books required to be kept<br />

pursuant to this Section by the person in whose name it is<br />

registered, in person or by his duly authorized attorney, upon<br />

surrender of the bond for cancellation, accompanied by delivery of<br />

a duly executed written instrument of transfer in a form approved<br />

by the Transfer Agent. Whenever any bond or bonds shall be<br />

surrendered for transfer, the Transfer Agent shall authenticate<br />

and deliver a new bond or bonds, for like aggregate principal<br />

amount. The Transfer Agent shall require the payment by the<br />

bondholder requesting the transfer of any tax or other<br />

governmental charge required to be paid with respect to the<br />

transfer.<br />
