Your committee has considered communication no. 1-23-18 from Karen<br />

Courneya, Director, <strong>Saginaw</strong> <strong>County</strong> Commission on Aging asking<br />

approval to amend the COA bylaws. The amendment is additional<br />

language, approved by <strong>County</strong> Counsel, regarding conflict of<br />

interest issues. It reads as follows:<br />

ARTICLE VI<br />

Board of Directors<br />

Section V: Conflict of Interest<br />

A member who is contemplating a specific business transaction<br />

or contract, either directly or indirectly with the<br />

<strong>Saginaw</strong> <strong>County</strong> Commission on Aging, must make the Board<br />

cognizant of said interest and it shall be recorded in<br />

the Minutes; and further, shall not be allowed until<br />

approved by 3/4's of the membership.<br />

It is our recommendation that the request from the <strong>Saginaw</strong> <strong>County</strong><br />

Commission on Aging to amend the COA bylaws be approved, as<br />

submitted; further, that a copy remain on file in the Board<br />

Your committee has considered communication no. 2-27-11 from Karen<br />

Courneya, Director, <strong>Saginaw</strong> <strong>County</strong> Commission on Aging asking<br />

approval to delete two on-call Senior Center Managers (currently<br />

vacant) and add one regular part-time Senior Center Manager<br />

position at the Eleanor Frank Center.<br />

During the last two years it has been difficult to recruit<br />

employees for the on-call positions, and it seems appropriate to<br />

make changes based on the inability to fill this position as it is<br />

now structured. The Commission on Aging budget will support any<br />

additional cost.<br />

It is our recommendation that the request from the <strong>Saginaw</strong> <strong>County</strong><br />

Commission on Aging to delete two on-call Senior Center Managers<br />

and add a regular part-time Senior Center Manager be approved. We<br />

further recommend the proper <strong>County</strong> officials be authorized to<br />

make the necessary changes to the personnel complement.<br />
