C. Special Counsel shall report to the Corporation Counsel when he or she has
biled 70% of total contract amount. Special Counsel shall not be paid for services unless prior
approval by the Corporation Counsel once Special Counsel lE~aches the 100% threshold.
D. The Corporation Counel reserves the right to terminate this agreement at any
time for any reason whatsoever. Upon termination, Special Counsel shallbe paidfor services
rendered up to the date of termination. Thereafter, .this agreement shall be null and void with
no further rights or obligations emanating therefrom.
. E. Ths agreement shall not become effective and Special Counsel shall provide no
services under this agreement until he or she has executed the following documents:
(1) Minoiity/Woman Business Enterprise Questionnaire;
(2) Procurement
and Service Contracts, Language U A";
(3) Mandatory Business Registration.
Biling Practices and Other Guidelines Procedures
Disbursements should be charged only on the basis of the actual direct out-of-pocket cost
. tothe Special Counsel and biled with sufficient detail to permit assessment of their compliance
with the following guidelines: (I) în the case of photocopying, the per page charge not to exceed
fifteen cents ($.15) per page; (ii) in the' case of facsimile transmittal, the per page charge not to
exceed one dollar and fift cents ($1.50) per page; and (ii) charges for mileage and parking .shall
not be charged to the City.
The City expects that the Special Counsei wil need to obtain the services of third-parties.
such as court reporters, investigator~~ consultants, experts, title companies, appraisers, messenger
services, etc., in order to carry out their assignents and wiUcontract with those service providers
